Wespa znači WESPA SPACES d.o.o., sa sjedištem u Zagrebu, Radnička cesta 50, OIB: 64759014334, upisano u sudski registar Trgovačkog suda u Zagrebu pod MBS 081295338.
Korisnik znači pravna ili fizička osoba (obrt, OPG, kućna radinost ili bilo koji drugi pravni oblik) koja je s Wespom sklopila bilo koji Ugovor za korištenje usluga Wespe.
Ugovor znači bilo koji ugovor sklopljen između Wespe i Korisnika, uključujući:
- ugovor o zakupu poslovnog prostora
- kratkoročni ugovor o zakupu
- ugovor o pružanju virtualne adrese
- ugovor o organizaciji događanja
- bilo koji drugi ugovor za pružanje Wespinih usluga, što podrazumijeva i ponude koje je izdala Wespa, a prihvatio Korisnik (bilo potpisom ili konkludetnom radnjom)
Ugovorne Strane znači Wespa i Korisnik.
Opći Uvjeti znači ovi Opći uvjeti poslovanja koji čine sastavni dio svakog Ugovora te na čije odredbe Korisnik pristaje sklapanjem Ugovora.
HUB znači „WESPA SPACES COWORKING HUB", poslovni prostor koji se nalazi unutar poslovno-stambenog kompleksa „Zavrtnica", na adresi Zavrtnica 17, Zagreb.
WBL znači „WESPA Business Lounge", poslovni prostor koji se nalazi u Poslovnom kompleksu „Green Gold", Radnička cesta 52 i Ulica grada Vukovara 269 g i 269 f, Zagreb.
Prostori znači HUB i WBL.
Predmet Zakupa znači prostor koji je Wespa dala Korisniku u zakup temeljem Ugovora, a koji se nalazi unutar Prostora.
Poslovna Adresa znači adresu HR-10000 Zagreb, Zavrtnica 17 ili HR-10000 Zagreb, Radnička cesta 52, koju Wespa pruža Korisniku u sklopu usluge virtualne adrese.
Radni dan znači svaki dan u tjednu osim subote, nedjelje te vjerskih i državnih praznika označenih kao neradni dan.
Kućni Red znači „Pravila korištenja i Kućnog reda", popis pravila svakodobno dostupan na web stranici Wespe: https://wespa.hr/code-of-conduct-and-house-rules/. O svim izmjenama i dopunama Kućnog Reda, Korisnik će biti obaviješten e-mailom te je Korisnik obvezan postupati po istima od dana primitka obavijesti na e-mail adresu.
Događanje znači seminar, recepciju, predavanje, tečaj ili bilo koji drugi događaj organiziran u Prostorima.

Wespa means WESPA SPACES d.o.o., with headquarters in Zagreb, Radnička cesta 50, OIB: 64759014334, registered in the court register of the Commercial Court in Zagreb under MBS 081295338.
User means a legal or natural person (craft, family farm, household activity or any other legal form) that has concluded any Contract with Wespa for the use of Wespa's services.
Contract means any contract concluded between Wespa and the User, including:
- lease agreement for business premises
- short-term lease agreement
- virtual address service agreement
- event organization agreement
- any other agreement for the provision of Wespa's services, which also includes offers issued by Wespa and accepted by the User (either by signature or conclusive action)
Contracting Parties means Wespa and the User.
General Terms means these General Terms and Conditions which form an integral part of every Contract and to whose provisions the User agrees by concluding the Contract.
HUB means "WESPA SPACES COWORKING HUB", business premises located within the business-residential complex "Zavrtnica", at address Zavrtnica 17, Zagreb.
WBL means "WESPA Business Lounge", business premises located in the Business Complex "Green Gold", Radnička cesta 52 and Ulica grada Vukovara 269 g and 269 f, Zagreb.
Premises means HUB and WBL.
Lease Subject means the space that Wespa has leased to the User based on the Contract, which is located within the Premises.
Business Address means the address HR-10000 Zagreb, Zavrtnica 17 or HR-10000 Zagreb, Radnička cesta 52, which Wespa provides to the User as part of the virtual address service.
Working day means any day of the week other than Saturday, Sunday, and religious and public holidays designated as non-working days.
House Rules means "Usage Rules and House Rules", a list of rules always available on Wespa's website: https://wespa.hr/code-of-conduct-and-house-rules/. The User will be notified of all changes and amendments to the House Rules via email and the User is obliged to act according to them from the day of receiving the notification at the email address.
Event means a seminar, reception, lecture, course or any other event organized in the Premises.
Vrste usluga / Types of Services

Wespa pruža sljedeće glavne skupine usluga:
- (a) Usluge zakupa poslovnog prostora pružaju se u dva oblika, odnosno kao:
- Dugoročni zakup – zakup Predmeta Zakupa na određeno ili neodređeno vrijeme; i
- Kratkoročni zakup – u okviru paketa kako su javno ponuđeni na Wespinim web stranicama
- (b) Usluge virtualne adrese – pružanje Poslovne Adrese za registraciju sjedišta društva i zaprimanje pošte, u različitim paketima
- (c) Usluge organizacije eventa – organizacija i održavanje Događanja u Prostorima

Wespa provides the following main groups of services:
- (a) Business premises lease services are provided in two forms, namely as:
- Long-term lease – lease of the Lease Subject for a definite or indefinite period; and
- Short-term lease – within packages as publicly offered on Wespa's websites
- (b) Virtual address services – providing Business Address for company headquarters registration and mail receipt, in different packages
- (c) Event organization services – organization and maintenance of Events in the Premises
Primjenjivost Općih Uvjeta / Applicability of General Terms

(1) Ovi Opći Uvjeti primjenjuju se na sve Ugovore sklopljene između Wespe i Korisnika, neovisno o vrsti usluge. Ukoliko se razlikuju od ovdje sadržanih odredaba, odredbe Ugovora imaju prednost pred odredbama ovih Općih Uvjeta samo ukoliko je tako izričito navedeno u Ugovoru.
(2) Za sva pitanja koja nisu izričito uređena Ugovorom, vrijede odredbe ovih Općih Uvjeta. Ovime se odbacuje svako pozivanje na opće uvjete i odredbe Korisnika ili trećih strana. Odstupanje od ovih Općih Uvjeta moguće je samo uz izričito pisano odobrenje Wespe. Ovi Opći Uvjeti podložni su izmjenama koje stupaju na snagu danom objave na Wespinoj web stranici.
(3) U slučaju nastavljanja korištenja usluga odnosno zakupnog odnosa nakon izmjene odredbi Općih Uvjeta, smatra se da je Korisnik na iste pristao.

(1) These General Terms apply to all Contracts concluded between Wespa and the User, regardless of the type of service. If they differ from the provisions contained herein, the provisions of the Contract take precedence over the provisions of these General Terms only if explicitly stated in the Contract.
(2) For all matters not explicitly regulated by the Contract, the provisions of these General Terms apply. This rejects any reference to general terms and provisions of the User or third parties. Deviation from these General Terms is possible only with explicit written approval from Wespa. These General Terms are subject to changes that take effect on the date of publication on Wespa's website.
(3) In case of continued use of services or lease relationship after changes to the General Terms provisions, it is considered that the User has agreed to them.
Osnovno korištenje Prostora / Basic Use of Premises

(1) Korisnik ima pravo koristiti prostor isključivo za potrebe za koje je sklopljen Ugovor, odnosno za potrebe obavljanja zakonom dopuštene registrirane poslovne djelatnosti i to sukladno pravilima Kućnog Reda.
(2) Korisnik se obvezuje čuvati pokretnine u Prostorima, ne raditi nikakve preinake ili izmjene bez izričite pisane suglasnosti Wespe i poštivati Kućni Red.
(3) Korisnik je dužan svoje poslovanje i postupke prilagoditi činjenici poslovanja unutar Prostora. Navedeno posebno podrazumijeva kulturno, profesionalno i susretljivo ponašanje prema ostalim korisnicima i trećim osobama unutar Prostora.
(4) Prostori su prostori nulte tolerancije prema diskriminaciji i vrijeđanju po bilo kojoj osnovi. Od Korisnika se očekuje potpuno i beziznimno poštivanje svih zakona i generalno obvezujućih pravila, uključujući ali ne ograničavajući se na odluke zdravstvenih i usporedivih tijela.
(5) Prostori su za Korisnika otvoreni svakog dana i to svakodobno (0-24), dok su za javnost otvoreni u redovno radno vrijeme dostupno na web stranicama Wespe.

(1) The User has the right to use the space exclusively for the purposes for which the Contract was concluded, namely for the needs of conducting legally permitted registered business activities and in accordance with the House Rules.
(2) The User undertakes to protect movable property in the Premises, not to make any alterations or changes without explicit written consent from Wespa and to respect the House Rules.
(3) The User is obliged to adapt their business and procedures to the fact of doing business within the Premises. This specifically includes cultural, professional and accommodating behavior towards other users and third parties within the Premises.
(4) The Premises are zero-tolerance spaces towards discrimination and harassment on any basis. The User is expected to fully and unconditionally respect all laws and generally binding rules, including but not limited to decisions of health and comparable bodies.
(5) The Premises are open to the User every day and at all times (0-24), while they are open to the public during regular business hours available on Wespa's websites.
Osnovne usluge uključene u cijenu / Basic Services Included in the Price

Ovisno o lokaciji i vrsti usluge, u cijenu su uključene sljedeće osnovne usluge i pogodnosti:
- kontrola ulaska i video nadzor
- recepcija i primanje pošte
- besplatni natkriveni parking za bicikle i romobile
- korištenje čajne kuhinje, garderobe, toaleta i tuševa
- korištenje zone za odmor i opuštanje
- korištenje interneta
- uspostavljanje i razvijanje poslovnih partnerstava
- moderni restoran i caffe bar

Depending on the location and type of service, the following basic services and amenities are included in the price:
- access control and video surveillance
- reception and mail receipt
- free covered parking for bicycles and scooters
- use of tea kitchen, wardrobe, toilets and showers
- use of rest and relaxation zone
- internet use
- establishing and developing business partnerships
- modern restaurant and coffee bar
Dodatne usluge / Additional Services

(1) Uz nadoplatu sukladno cijenama iz trenutno važećeg cjenika, Wespa nudi dodatne usluge kao što su parking, posebni eventi i ostale pogodnosti.
(2) Korisnik prima na znanje i pristaje da Wespa ima u svakome trenutku pravo jednostrano promijeniti cijene dodatnih usluga, obzirom se iste pružaju od strane partnera Wespe te ovise o trenutnim tržišnim uvjetima.

(1) For an additional charge according to prices from the currently valid price list, Wespa offers additional services such as parking, special events and other amenities.
(2) The User acknowledges and agrees that Wespa has the right at any time to unilaterally change the prices of additional services, given that they are provided by Wespa's partners and depend on current market conditions.
Troškovi i odgovornost / Costs and Liability

(1) Korisnik se obvezuje podmiriti svu štetu uzrokovanu oštećenjem i kvarovima, a nastalu krivnjom i nepažnjom Korisnika ili trećih osoba koje je pozvao u Prostore. Korisnik se obvezuje o svakom slučaju štete i kvarova odmah obavijestiti Wespu. Korisnik ne odgovara za redovno trošenje prostora i ugrađene infrastrukturne opreme i uređaja.
(2) Korisnik odgovara za svu štetu koja može nastati uslijed uporabe prostora protivno odredbama Ugovora i ovih Općih Uvjeta odnosno Kućnog Reda, kao i uporabe kojoj prostor nije namijenjen, neovisno o tome je li prostor rabio Korisnik ili neka druga osoba po njegovom nalogu odnosno druga osoba kojoj je Korisnik omogućio pristup.
(3) Wespa se obvezuje snositi porez i druge javne terete vezane uz prostor. Troškovi grijanja, hlađenja, interneta, vode, struje, službe recepcije, odvoza komunalnog otpada i ostalih režija uključeni su u cijenu.
(4) U mjeri u kojoj bilo koji incident ili okolnost izvan kontrole Wespe (uključujući prirodne pojave, rat, štrajkove, prekide rada, nedostatak sirovina i energije, poremećaj prometa, kvar proizvodne opreme, požar, eksploziju, djelovanja izvršne vlasti, itd.) smanjuje ili potpuno eliminira mogućnost ispunjenja Wespinih obveza, Wespa (i) se oslobađa obveza iz Ugovora u mjeri u kojoj je spriječena da izvrši takve obveze i (ii) nije obvezna nadoknaditi štetu u bilo kojem obliku.
(5) Wespa ne odgovara za gubitak, oštećenje ili krađu osobnih stvari, opreme ili imovine gostiju, sudionika Događanja ili trećih osoba koje se nalaze u Prostorima. Organizator je obvezan o tome upozoriti sudionike Događanja.
(6) U slučaju da je Wespa spriječena organizirati ili pružiti ugovorenu uslugu zbog okolnosti više sile (uključujući prirodne nepogode, ekstremne vremenske uvjete, odluke nadležnih tijela, zakonske zabrane ili druge okolnosti izvan razumne kontrole Wespe), Wespa će o tome obavijestiti organizatora bez odgode. U takvim slučajevima Wespa nema obvezu naknade štete organizatoru, ali je dužna uz dogovor s organizatorom ponuditi alternativni termin ili povrat plaćene naknade u razmjernom dijelu koji odgovara pruženim uslugama, ako nije pružena nijedna.
(7) Sve troškove platnog prometa (uključujući plaćanja izvan EU/EGP odnosno SEPA sustava), uključujući bankovne naknade, naknade posredničkih (korespondentskih) banaka te troškove konverzije valuta, snosi platitelj. Iznos koji pristigne na račun primatelja mora odgovarati ugovorenom iznosu računa, neumanjenom za bilo kakve naknade.

(1) The User undertakes to compensate for all damage caused by damage and breakdowns, arising from the fault and negligence of the User or third parties invited to the Premises. The User undertakes to immediately notify Wespa of any case of damage and breakdowns. The User is not responsible for normal wear and tear of space and built-in infrastructure equipment and devices.
(2) The User is responsible for all damage that may arise from the use of space contrary to the provisions of the Contract and these General Terms or House Rules, as well as use for which the space is not intended, regardless of whether the space was used by the User or another person on their order or another person to whom the User enabled access.
(3) Wespa undertakes to bear tax and other public charges related to the space. Costs of heating, cooling, internet, water, electricity, reception services, municipal waste removal and other utilities are included in the price.
(4) To the extent that any incident or circumstance beyond Wespa's control (including natural phenomena, war, strikes, work interruptions, shortage of raw materials and energy, traffic disruption, production equipment failure, fire, explosion, executive authority actions, etc.) reduces or completely eliminates the possibility of fulfilling Wespa's obligations, Wespa (i) is released from Contract obligations to the extent it is prevented from performing such obligations and (ii) is not obliged to compensate damage in any form.
(5) Wespa shall not be liable for the loss, damage or theft of personal belongings, equipment or property of guests, Event participants or third parties present on the Premises. The Organizer is obliged to warn Event participants accordingly.
(6) In the event that Wespa is prevented from organizing or providing the contracted service due to force majeure circumstances, Wespa shall notify the Organizer without delay. In such cases, Wespa shall have no obligation to compensate the Organizer for damages, but shall, in agreement with the Organizer, offer an alternative date or a refund of the paid fee in a proportionate part corresponding to the services rendered, or in full if no services have been provided.
(7) All payment transaction costs (including payments outside the EU/EEA or SEPA system), including bank fees, intermediary (correspondent) bank charges and currency conversion costs, shall be borne by the payer. The amount credited to the recipient's account must correspond to the agreed invoice amount, undiminished by any fees.
Općenito o Ugovorima / Contract Generalities

(1) Wespa ima pravo mijenjati cijene zakupnine kao i iznose svih drugih naknada te ne garantira jednaku cijenu kroz bilo koje buduće razdoblje. O navedenom će Wespa Korisnika obavijestiti pisanim putem 30 dana prije primjene izmijenjenog iznosa. Smatra se da je Korisnik na promjenu pristao ako unutar roka od 14 (četrnaest) dana od slanja obavijesti nije pisanim putem obavijestio Wespu o svom protivljenju. U tom slučaju Wespa zadržava pravo otkazati Ugovor uz poštivanje otkaznog roka od 30 dana.
(2) Wespa zadržava pravo u bilo kojem trenutku izmijeniti ili ukinuti bilo koji segment poslovanja, uključujući, i bez ograničenja, sadržaj svoje ponude i radno vrijeme.
(3) Korisnik se obvezuje da se isti, zajedno sa svim zaposlenicima kojima se mjesto rada nalazi unutar Prostora, smatraju članovima Prostora i da se na njih odnose odredbe ovih Općih Uvjeta za članove Prostora, kao i Kućni Red.
(4) Korisnik se obvezuje za cijelo vrijeme trajanja Ugovora držati Wespa obaviještenim (pisanim putem na e-mail adresu navedenu u Ugovoru) o osobama koje će koristiti zakupljena radna mjesta, kao i o svakoj naknadno nastaloj promjeni.
(5) I dok se potiče stvaranje novih poslovnih suradnji, od Korisnika se očekuje da se suzdrži od vrbovanja radnika drugih zakupnika.
(6) Svi Ugovori predviđeni ovim Općim uvjetima mogu, bez obzira na specifične odredbe sadržane u ovim Općim uvjetima, prestati zajedničkim sporazumom Ugovornih strana.
(7) U odnosu na sve Ugovore predviđene ovim Općim uvjetima, ukoliko je Korisnik Predmet Zakupa isti koristio bez plaćanja unaprijed, pa sa bilo kojim plaćanjem kasni odnosno isto nije podmirio pravovremeno ili u cijelosti, Wespa ima pravo, prema vlastitoj procjeni ili odluci, trajno ili privremeno odbiti sklapanje daljnjih Ugovora s Korisnikom. Isto tako, Wespa prema vlastitoj procjeni i bez davanja ikakvih obrazloženja može odbiti sklapanje bilo kojeg Ugovora s bilo kojom osobom, uključujući postojeće Korisnike.
(8) Korisnik ne smije prenijeti svoja prava i obveze iz Ugovora ili Općih Uvjeta na treću stranu bez prethodne pisane suglasnosti Wespe.
English
(1) Wespa has the right to change rent prices as well as amounts of all other fees and does not guarantee the same price through any future period. Wespa will notify the User of this in writing 30 days before applying the changed amount. It is considered that the User has agreed to the change if within 14 (fourteen) days from sending the notification they have not notified Wespa in writing of their objection. In that case, Wespa reserves the right to terminate the Contract with observance of a 30-day notice period.
(2) Wespa reserves the right to change or abolish any business segment at any time, including, without limitation, the content of its offer and working hours.
(3) The User undertakes that they, together with all employees whose workplace is located within the Premises, are considered members of the Premises and that the provisions of these General Terms for Premises members apply to them, as well as the House Rules.
(4) The User undertakes to keep Wespa informed (in writing to the email address specified in the Contract) throughout the duration of the Contract about persons who will use the leased workplaces, as well as about any subsequent changes.
(5) While creating new business collaborations is encouraged, the User is expected to refrain from recruiting workers of other tenants.
(6) All Contracts provided by these General Terms may, regardless of specific provisions contained in these General Terms, terminate by mutual agreement of the Contracting Parties.
(7) Regarding all Contracts provided by these General Terms, if the User has used the Lease Subject without paying in advance, and is late with any payment or has not settled it on time or in full, Wespa has the right, according to its own assessment or decision, to permanently or temporarily refuse to conclude further Contracts with the User. Likewise, Wespa may refuse to conclude any Contract with any person, including existing Users, according to its own assessment and without giving any explanations.
(8) The User may not transfer their rights and obligations from the Contract or General Terms to a third party without prior written consent from Wespa.
Osobni podaci / Personal Data

(1) Svi osobni podaci koji na bilo koji način postanu dostupni drugoj Ugovornoj Strani, a vezano za sklapanje i izvršenje Ugovora, mogu se obrađivati isključivo u svrhu izvršenja Ugovora. Ugovorne Strane ne smiju, osim kako je to dopušteno primjenjivim zakonima, obrađivati osobne podatke ni na koji drugi način, a posebno ne smiju otkrivati osobne podatke trećim stranama i/ili analizirati takve podatke za vlastite potrebe i/ili vezano za profile.
(2) Ugovorne Strane moraju osigurati da osobni podaci budu dostupni isključivo njihovim suradnicima, i to pod uvjetom da i u mjeri u kojoj je pristup podacima od strane takvih suradnika nužno potreban za izvršenje Ugovora (načelo postojanja potrebe saznanja).
(3) Ugovorne Strane dužne su jedna drugu obavijestiti u slučaju povrede osobnih podataka, posebno u slučaju njihova gubitka, bez neopravdane odgode, ali u svakom slučaju u roku od 24 h nakon saznanja o povredi. Po raskidu ili isteku suradnje Ugovorne Strane su dužne, u skladu s primjenjivim zakonima, izbrisati osobne podatke uključujući sve kopije istih.
(4) Sve vrste profesionalnih snimanja unutarnjih i vanjskih dijelova Prostora, opreme, osoblja, posjetitelja i korisnika su zabranjena, osim ukoliko Wespa ne izda prethodno pisano odobrenje. Wespa zadržava pravo svakodobno opozvati izdano odobrenje, te zahtijevati brisanje i uklanjanje snimljenog materijala.
(5) Iz razloga sigurnosti odnosno zaštite osoba i imovine Prostori (s iznimkom sanitarnih čvorova) nalaze se pod konstantnim video-nadzorom. Obveza je Korisnika kao poslodavca obavijestiti na primjeren način svoje zaposlenike o ovoj činjenici.
(6) Wespa ni na koji način ne utječe ni ne odgovara za osobne podatke prikupljene tijekom Događanja. Sva odgovornost vezana za zaštitu osobnih podataka leži isključivo na organizatoru ili osobi koja prikuplja i obrađuje osobne podatke.
(7) Sve informacije o obradi osobnih podataka dostupne su u Politici privatnosti, kao i slanjem upita našem službeniku za zaštitu osobnih podataka, dostupnom na gdpr@wespa.hr.

(1) All personal data that become available to the other Contracting Party in any way, related to the conclusion and execution of the Contract, may be processed exclusively for the purpose of Contract execution. Contracting Parties may not, except as permitted by applicable laws, process personal data in any other way, and especially may not disclose personal data to third parties and/or analyze such data for their own needs and/or related to profiles.
(2) Contracting Parties must ensure that personal data are available exclusively to their associates, and only under the condition that and to the extent that access to data by such associates is necessarily required for Contract execution (need-to-know principle).
(3) Contracting Parties are obliged to notify each other in case of personal data breach, especially in case of their loss, without undue delay, but in any case within 24 hours after learning of the breach. Upon termination or expiration of cooperation, Contracting Parties are obliged, in accordance with applicable laws, to delete personal data including all copies thereof.
(4) All types of professional recording of internal and external parts of the Premises, equipment, staff, visitors and users are prohibited, unless Wespa issues prior written approval. Wespa reserves the right to revoke issued approval at any time and to demand deletion and removal of recorded material.
(5) For security reasons or protection of persons and property, the Premises (except sanitary facilities) are under constant video surveillance. It is the User's obligation as an employer to appropriately notify their employees of this fact.
(6) Wespa does not influence or is responsible in any way for personal data collected during Events. All responsibility related to personal data protection lies exclusively with the organizer or person who collects and processes personal data.
(7) All information about personal data processing is available in the Privacy Policy as well as by sending inquiries to our data protection officer, available at gdpr@wespa.hr.
Ostale obveze Korisnika; Pritužbe / Other User Obligations; Complaints

(1) Korisnik nema pravo bez prethodne pisane suglasnosti Wespe Prostore u cjelini ili njegovom dijelu dati u daljnji podzakup trećim osobama, isto kao što nema pravo bez pisane suglasnosti Wespe Ugovor ili njegov dio prenijeti trećim osobama.
(2) Korisnik se obvezuje obavijestiti Wespu pisanim putem o svakoj promjeni, bilo imena društva, adrese, ovlaštenih osoba za zastupanje, žiro računa ili drugih statusnih promjena.
(3) Pritužbe se primaju isključivo u pisanom obliku u roku od 8 dana od izvršenja usluge ili spornog događaja na e-mail adresu info@wespa.hr. U slučaju da pritužbu podnosi fizička osoba-potrošač, tada se pritužba može podnijeti u pisanom obliku na poslovnim prostorijama Wespe, poštom (WESPA SPACES d.o.o., Zagreb, Radnička cesta 50) i e-mailom info@wespa-spaces.hr.

(1) The User does not have the right without prior written consent from Wespa to sublease the Premises in whole or in part to third parties, just as they do not have the right without written consent from Wespa to transfer the Contract or its part to third parties.
(2) The User undertakes to notify Wespa in writing of any change, whether company name, address, authorized representatives, bank account or other status changes.
(3) Complaints are received exclusively in written form within 8 days from service performance or disputed event at email address info@wespa.hr. In case the complaint is filed by a natural person-consumer, then the complaint may be submitted in written form at Wespa's business premises, by mail (WESPA SPACES d.o.o., Zagreb, Radnička cesta 50) and by email info@wespa-spaces.hr.
Predmet dugoročnog zakupa / Long-Term Lease Subject

(1) Korisnik se obvezuje osigurati da se Predmet Zakupa uvijek može identificirati kao vlasništvo Wespe, tako ga označavati te ga prikazivati odvojeno od svoje imovine i ne opterećivati ga pravima trećih. Korisnik ima pravo istaknuti reklamnu ploču sa svojom tvrtkom i poslovnom adresom na Predmet Zakupa, sadržaja i izgleda prethodno usuglašenih sa Wespom.
(2) Korisnik ima pravo u Predmetu Zakupa koristiti sve pripadajuće izvedene infrastrukturne instalacije i priključke i to u stanju u kojem su te instalacije, priključci i uređaji zatečeni na dan početka zakupa. Korisnik nema mogućnost osobnog zahvata u Predmet Zakupa bez posebne prethodne pisane suglasnosti Wespe za bilo kakve preinake.

(1) The User undertakes to ensure that the Lease Subject can always be identified as Wespa's property, to mark it as such and display it separately from their property and not to burden it with third party rights. The User has the right to display an advertising board with their company and business address on the Lease Subject, of content and appearance previously agreed with Wespa.
(2) The User has the right to use all related derived infrastructure installations and connections in the Lease Subject in the condition in which these installations, connections and devices were found on the lease start date. The User has no possibility of personal intervention in the Lease Subject without special prior written consent from Wespa for any alterations.
Obveze Wespe za dugoročni zakup / Wespa's Obligations for Long-Term Lease

(1) Wespa se obvezuje osigurati Korisniku mirno korištenje Predmeta Zakupa bez ometanja od strane Wespe ili trećih osoba, osigurati popravke oštećenja uzrokovane višom silom te snositi izvanredne popravke koji nisu uzrokovani krivnjom Korisnika, a Korisnik je isto dužan dopustiti.
(2) Za vrijeme trajanja Ugovora, Wespa ima pravo na pregled Predmeta Zakupa u terminu unaprijed dogovorenim s Korisnikom, a najkasnije u roku 3 (tri) dana od dana upućenog zahtjeva Korisniku za pregled Predmeta Zakupa.

(1) Wespa undertakes to ensure the User peaceful use of the Lease Subject without interference from Wespa or third parties, to ensure repairs of damage caused by force majeure and to bear extraordinary repairs not caused by the User's fault, which the User is obliged to allow.
(2) During the Contract duration, Wespa has the right to inspect the Lease Subject at a time previously agreed with the User, and no later than within 3 (three) days from the day of sending the request to the User for Lease Subject inspection.

Zakupnina za dugoročni zakup / Rent for Long-Term Lease

(1) Korisnik se obvezuje uredno plaćati zakupninu na način i u rokovima određenim odredbama Ugovora i bez posebnog poziva Wespe. Ugovorenu zakupninu Korisnik će platiti unaprijed, i to najkasnije do datuma dospijeća navedenog na fakturi koju izda Wespa.
(2) Korisnik se obvezuje uplatiti depozit u iznosu i u rokovima određenim odredbama Ugovora. Depozit koji je platio Korisnik služi u svrhu osiguranja urednog i pravodobnog plaćanja zakupnine i svih drugih obveza koje za Korisnika proizlaze iz Ugovora i ovih Općih Uvjeta, a pogotovo za slučaj štete na Predmetu Zakupa.
(3) Ukoliko Korisnik ne uplati depozit u danom mu roku, Wespa zadržava pravo bez daljnjih pozivanja na uplatu, raskinuti odnosno otkazati Ugovor, sve bez poštivanja ikakvog otkaznog roka. Korisniku će u tom slučaju svakako biti obračunata i naplaćena zakupnina u razmjernu dijelu, ovisno o stvarnom trajanju korištenja Predmeta Zakupa.
(4) Ukoliko Wespa za vrijeme trajanja Ugovora, a prije njegovog isteka, utroši položeni iznos depozita iz bilo kojeg razloga predviđenog Ugovorom odnosno Općim Uvjetima, Korisnik se obvezuje odmah, a najkasnije u roku od 3 (tri) dana od dana pisanog poziva Wespe, nadoplatiti nedostajući iznos sve do punog iznosa depozita.
(5) Wespa ima pravo unutar trajanja jedne kalendarske godine (od 1.1. do 31.12. pojedine godine) sukladno vlastitim internim odlukama uvećati iznos zakupnine za do najviše 10%, počev od prvog sljedećeg mjeseca nakon što Wespa o istome obavijesti Korisnika pisanim putem.
(6) U odnosu na promjene iznosa zakupnine iz stavaka 5 i 6 ovog članka, smatra se da je Korisnik na iste pristao ako unutar roka od 14 (četrnaest) dana od slanja obavijesti nije pisanim putem obavijestio Wespu o svom protivljenju. U tom slučaju Wespa zadržava pravo raskinuti odnosno otkazati Ugovor uz poštivanje otkaznog roka od 8 dana.
(7) Ukoliko je Korisnik u potpunosti ili djelomično zakupninu platio putem predujma, u slučaju da Ugovor otkaže prijevremeno, ili Ugovor bude otkazan odnosno raskinut krivnjom Korisnika, isti nema pravo na povrat plaćenog predujma.

(1) The User undertakes to pay rent regularly in the manner and within the deadlines determined by the Contract provisions and without special invitation from Wespa. The User will pay the agreed rent in advance, no later than the due date specified on the invoice issued by Wespa.
(2) The User undertakes to pay a deposit in the amount and within the deadlines determined by the Contract provisions. The deposit paid by the User serves to secure regular and timely payment of rent and all other obligations arising for the User from the Contract and these General Terms, and especially in case of damage to the Lease Subject.
(3) If the User does not pay the deposit within the given deadline, Wespa reserves the right without further payment reminders to terminate or cancel the Contract, all without observing any notice period. In that case, the User will in any case be charged and billed rent in proportional part, depending on the actual duration of Lease Subject use.
(4) If Wespa uses the deposited amount during the Contract duration, before its expiration, for any reason provided by the Contract or General Terms, the User undertakes to immediately, and no later than within 3 (three) days from the day of written invitation from Wespa, pay the missing amount up to the full deposit amount.
(5) Wespa has the right within one calendar year (from 1.1. to 31.12. of a particular year) according to its own internal decisions to increase the rent amount by up to maximum 10%, starting from the first following month after Wespa notifies the User of this in writing.
(6) Regarding changes in rent amounts from paragraphs 5 and 6 of this article, it is considered that the User has agreed to them if within 14 (fourteen) days from sending the notification they have not notified Wespa in writing of their objection. In that case, Wespa reserves the right to terminate or cancel the Contract with observance of an 8-day notice period.
(7) If the User has paid rent in full or partially through advance payment, in case the User cancels the Contract prematurely, or the Contract is canceled or terminated due to the User's fault, they have no right to return of paid advance payment.
Primopredaja Predmeta Zakupa / Handover of Lease Subject

(1) Korisnik se obvezuje odmah po prestanku Ugovora po bilo kojoj osnovi i bez da se to od njega posebno zahtijeva, predati Wespi Predmet Zakupa slobodan od osoba i stvari u stanju u kojem ga je i primio. U protivnom odgovara Wespi za svu nastalu štetu, uključujući izgubljenu dobit.
(2) Korisnik je dužan prije povrata Predmet Zakupa urediti i dovesti ga u stanje u kakvom ga je primio, ili u stanje kako je naknadno uređen uz pisano odobrenje Wespe, izuzimajući promjene do kojih je došlo redovitom uporabom prostora. U svakom slučaju Korisnik se obvezuje ličiti zidove i stropove predmetnog prostora.
(3) Ukoliko je Korisnik izvršio određene promjene (dodaci, poboljšanja i sl.) na Predmetu Zakupa, ista postaju vlasništvo Wespe, a Korisnik nema pravo zahtijevati povrat troškova u vezi s njihovom ugradnjom. Korisnik ima pravo odnijeti uređaje koje je ugradio u poslovni prostor, ako se time ne oštećuje Predmet Zakupa niti bilo koji dio Prostora i ako mu to ulaganje Wespa nije priznala kroz smanjenje visine zakupnine.
(4) Početna i završna primopredaja Predmeta Zakupa biti će potvrđena zapisnikom kojega će potpisati obje Ugovorne Strane, kao i biti dokumentirana fotografijama stanja preuzetog Predmeta Zakupa obilježene "Time stamp-om" i koje čine sastavni dio zapisnika.

(1) The User undertakes immediately upon Contract termination on any basis and without special demand to hand over to Wespa the Lease Subject free of persons and things in the condition in which they received it. Otherwise, they are responsible to Wespa for all resulting damage, including lost profit.
(2) The User is obliged before returning the Lease Subject to arrange and bring it to the condition in which they received it, or to the condition as subsequently arranged with Wespa's written approval, excluding changes that occurred through normal space use. In any case, the User undertakes to paint the walls and ceilings of the subject space.
(3) If the User has made certain changes (additions, improvements, etc.) to the Lease Subject, they become Wespa's property, and the User has no right to demand return of costs related to their installation. The User has the right to take away devices they installed in the business space, if this does not damage the Lease Subject or any part of the Premises and if Wespa has not recognized this investment through rent reduction.
(4) Initial and final handover of the Lease Subject will be confirmed by a record signed by both Contracting Parties, as well as documented by photographs of the taken Lease Subject condition marked with "Time stamp" and which form an integral part of the record.
Prestanak Ugovora za dugoročni zakup / Contract Termination for Long-Term Lease

(1) U slučaju da Korisnik ne poštuje ugovorom preuzete obveze (uključujući i odredbe sadržane u ovim Općim Uvjetima), Wespa će ga pisano upozoriti na kršenje obveza i ostaviti mu rok od 3 dana da uskladi svoje ponašanje s Ugovorom preuzetim obvezama.
(2) Ugovorne Strane suglasno utvrđuju da ukoliko Korisnik i nakon pisane opomene rabi Predmet Zakupa i/li neki njegov sastavni dio protivno Ugovoru i/ili ovim Općim uvjetima i/ili Kućnom Redu, Wespa može jednostrano otkazati ovaj Ugovor bez poštivanja otkaznog roka.
(3) Redovni prestanak Ugovora uređuje se sukladno njegovom trajanju (na neodređeno, na određeno dulje od 3 mjeseca i na određeno vrijeme kraće od 3 mjeseca).
(4) Ugovori sklopljeni na neodređeno vrijeme: Wespa može otkazati Ugovor, i to bilo kojeg dana u mjesecu, uz otkazni rok od 8 (osam) dana u slučajevima kršenja ugovornih obveza, pokretanja stečajnog postupka, ili ako zbog reorganizacije prostora, radova ili drugih objektivnih razloga postoji potreba za navedenim prostorom.
(5) Ugovori sklopljeni na određeno vrijeme dulje od 3 mjeseca: Wespa može prijevremeno raskinuti Ugovor uz otkazni rok od 8 (osam) dana u istim slučajevima kao u prethodnom stavku.
(6) Ugovori sklopljeni na određeno vrijeme od točno 3 mjeseca i kraće: U slučaju kršenja obveza, Wespa je ovlaštena jednostrano raskinuti Ugovor u bilo koje vrijeme, bez ostavljanja bilo kakvog otkaznog roka.

(1) In case the User does not respect contractually assumed obligations (including provisions contained in these General Terms), Wespa will warn them in writing about obligation breach and give them 3 days to align their behavior with contractually assumed obligations.
(2) Contracting Parties mutually establish that if the User, even after written warning, uses the Lease Subject and/or any of its component parts contrary to the Contract and/or these General Terms and/or House Rules, Wespa may unilaterally terminate this Contract without observing notice period.
(3) Regular Contract termination is regulated according to its duration (indefinite, definite longer than 3 months and definite shorter than 3 months).
(4) Contracts concluded for indefinite time: Wespa may terminate the Contract, on any day of the month, with an 8 (eight) day notice period in cases of contractual obligation breach, bankruptcy proceeding initiation, or due to space reorganization, works or other objective reasons there is a need for the specified space.
(5) Contracts concluded for definite time longer than 3 months: Wespa may prematurely terminate the Contract with an 8 (eight) day notice period in the same cases as in the previous paragraph.
(6) Contracts concluded for definite time of exactly 3 months and shorter: In case of obligation breach, Wespa is authorized to unilaterally terminate the Contract at any time, without leaving any notice period.
Vrste kratkoročnih usluga / Types of Short-Term Services

(1) Predmet Ugovora kod kratkoročnog zakupa može biti:
- FlyDesk – dnevno korištenje jednog radnog mjesta u poluotvorenoj coworking zoni
- FlyDesk Work&Eat – uključuje nededicirani, slobodni stol i ergonomsku stolicu, internet, print, scan, copy (fair usage), 1 sat korištenja sobe za sastanke, ručak (lokacija i vrijeme sukladno odluci Wespe)
- Meeting Room – satno ili dnevno korištenje sobe za sastanke
- Meeting Room Paket – veći broj zakupljenih sati ili dana korištenja sobe za sastanke, točni raspored korištenja kojih je predmet dogovora Ugovornih Strana u skladu sa dostupnošću sukladno dijeljenom virtualnom kalendaru
- Podcast Studio – jednokratno satno korištenje opremljenog podcast studija, uz uvjete korištenja i primopredajni list opreme koji čine sastavni dio Ugovora
(2) Ugovor se može sklopiti prihvatom ponude koja se može primiti elektroničkom poštom, ili biti preuzeta u prostorijama Wespe ili putem web stranice Wespe, pri čemu se kao prihvat ponude smatra bilo potpisivanje ponude, izjava o prihvatu ponude, ili konkludentna radnja (npr. plaćanje po ponudi).

(1) The Contract subject for short-term lease may be:
- FlyDesk – daily use of one workplace in semi-open coworking zone
- FlyDesk Work&Eat – hot desk and ergonomic chair, internet, print, scan, copy (fair usage), 1 hour of meeting room use, lunch (location and time at Wespa's discretion)
- Meeting Room – hourly or daily use of meeting room
- Meeting Room Package – larger number of purchased hours or days of meeting room use, exact usage schedule of which is subject to Contracting Parties' agreement according to availability per shared virtual calendar
- Podcast Studio – one-time hourly use of the equipped podcast studio, subject to the terms of use and equipment handover form which form an integral part of the Contract
(2) The Contract may be concluded by accepting an offer that can be received by electronic mail, or taken at Wespa's premises or via Wespa's website, whereby signing the offer, statement of offer acceptance, or conclusive action (e.g. payment according to offer) is considered offer acceptance.
Podcast Studio

(1) Podcast Studio je jednokratna usluga kratkoročnog zakupa opremljenog podcast studija po satu, dostupna prema raspoloživosti kako je objavljeno na Wespinim web stranicama ili rezervacijom putem recepcije.
(2) Rezervacija se potvrđuje prihvatom ponude ili pisanom potvrdom Wespe. Wespa može uvjetovati rezervaciju uplatom depozita kao osiguranja za slučaj štete na opremi, u iznosu navedenom u ponudi.
(3) Korisnik je obvezan pri preuzimanju i vraćanju studija i opreme potpisati primopredajni list opreme koji dokumentira stanje opreme i koji čini sastavni dio Ugovora. Preuzimanjem opreme Korisnik potvrđuje da ju je primio u ispravnom stanju.
(4) U slučaju oštećenja, uništenja ili nestanka opreme za vrijeme korištenja, Wespa će Korisniku ispostaviti račun za trošak popravka ili nabave zamjenske opreme prema tržišnoj vrijednosti. Odsutnost uplaćenog depozita ne isključuje pravo Wespe na naknadu štete.
(5) Unošenje vlastite dodatne opreme dopušteno je isključivo uz prethodno odobrenje Wespinog koordinatora.
(6) Na korištenje Podcast Studija na odgovarajući način primjenjuju se odredbe čl. 20., 21. i 22. ovih Općih Uvjeta.

(1) The Podcast Studio is a one-time short-term lease service for the hourly use of the equipped podcast studio, available subject to availability as published on Wespa's website or by reservation via reception.
(2) A reservation is confirmed upon acceptance of an offer or written confirmation by Wespa. Wespa may make a reservation conditional upon payment of a deposit as security against potential damage to the equipment, in the amount specified in the offer.
(3) The User is obliged to sign an equipment handover form upon taking over and returning the studio and equipment, documenting the condition of the equipment, which forms an integral part of the Contract. By taking over the equipment, the User confirms receipt thereof in working condition.
(4) In the event of damage to, destruction of, or loss of any equipment during the period of use, Wespa shall invoice the User for the cost of repair or replacement of the equipment at market value. The absence of a paid deposit shall not exclude Wespa's right to claim compensation for damage.
(5) Bringing additional personal equipment into the studio is permitted only with the prior approval of Wespa's coordinator.
(6) The provisions of Articles 20, 21 and 22 of these General Terms and Conditions shall apply mutatis mutandis to the use of the Podcast Studio.
Korištenje kratkoročnih usluga / Use of Short-Term Services

(1) Korisnik ima pravo u Predmetu Zakupa koristiti sve pripadajuće izvedene infrastrukturne instalacije i priključke i to u stanju u kojem su te instalacije, priključci i uređaji zatečeni na dan početka zakupa. Korisnik nema pravo vršiti izmjene na Predmetu Zakupa.
(2) Wespa se obvezuje osigurati Korisniku mirno korištenje Predmeta Zakupa, osigurati popravke oštećenja uzrokovane višom silom te snositi izvanredne popravke koji nisu uzrokovani krivnjom Korisnika, a Korisnik je isto dužan dopustiti. Wespa ima pravo svakodobnog pregleda Predmeta Zakupa.
(3) U cijenu kratkoročnog zakupa uključene su sljedeće usluge i pogodnosti (dostupnost ovisi o lokaciji):
- korištenje soba za sastanke ako je to ugovoreno Ugovorom
- korištenje kabine za pozive
- pristup prostoru radnim danom tijekom radnog vremena

(1) Korisnik se obvezuje uredno plaćati zakupninu na način i u rokovima određenim odredbama Ugovora i bez posebnog poziva. Ugovorenu zakupninu Korisnik će platiti unaprijed, i to najkasnije do datuma dospijeća navedenog na fakturi koju izda Wespa.
(2) Ukoliko je Korisnik u potpunosti ili djelomično zakupninu platio putem predujma, u slučaju da Ugovor otkaže prijevremeno, ili Ugovor bude otkazan odnosno raskinut krivnjom Korisnika, isti nema pravo na povrat plaćenog predujma.

(2) Korisnik je dužan prije predaje Predmet Zakupa urediti i dovesti ga u stanje u kakvom ga je primio. U slučaju da Korisnik ne vrati Predmet Zakupa u prvobitno stanje ni po pisanom pozivu Wespe na e-mail adresu u roku od 3 (tri) dana, Wespa će sama o trošku Korisnika vratiti Predmet Zakupa u prvobitno stanje (što uključuje sve troškove čišćenja, popravka i nadomještanja nestalih/uništenih stvari).

Prestanak Ugovora za kratkoročni zakup / Contract Termination for Short-Term Lease

(1) U slučaju da Korisnik ne poštuje ugovorom preuzete obveze (uključujući i odredbe sadržane u ovim Općim Uvjetima i u Kućnom Redu), Wespa ima pravo trenutno i bez davanja otkaznog roka otkazati Ugovor, pri čemu ne nastaje obveza povrata eventualno avansno uplaćenih iznosa zakupnine.
(2) Wespa u takvom slučaju zadržava pravo zahtijevati plaćanje punog iznosa zakupnine, dok u slučaju usluge Meeting Room Paket ima pravo potraživati one iznose koji odgovaraju zakupnini za Predmet Zakupa za korištenje koje je doista izvršeno.
(3) Svi Ugovori sklopljeni su na određeno vrijeme, pri čemu trajanje može biti određeno u satima ili danima. Isto vrijedi i za uslugu Meeting Room Paket, a koji Ugovor traje do isteka zadnjeg dana razdoblja unutar kojeg Korisnik može koristiti zakupljeno vrijeme korištenja Predmeta Zakupa, odnosno, do konzumacije svih zakupljenih sati – ovisno o tome što se prvo ostvari.

(1) In case the User does not respect contractually assumed obligations (including provisions contained in these General Terms and House Rules), Wespa has the right to immediately and without giving notice period terminate the Contract, whereby no obligation arises for return of possibly advance paid rent amounts.
(2) Wespa in such case reserves the right to demand payment of the full rent amount, while in case of Meeting Room Package service has the right to claim those amounts corresponding to rent for Lease Subject use that was actually performed.
(3) All Contracts are concluded for definite time, whereby duration may be determined in hours or days. The same applies to Meeting Room Package service, which Contract lasts until expiration of the last day of the period within which the User can use the purchased usage time of the Lease Subject, or until consumption of all purchased hours – depending on which occurs first.
Usluga virtualne adrese / Virtual Address Service
Hrvatski
(1) Wespa pruža Korisniku Poslovnu Adresu isključivo u svrhu korištenja iste kao sjedišta društva te za primanje pošte. Korisnik nije ovlašten koristiti Poslovnu Adresu u drugu svrhu.
(2) Wespa nudi različite pakete virtualne adrese, koji se razlikuju prema uključenim sadržajima i cijeni. (1) Wespa provides the User with Business Address exclusively for the purpose of using it as company headquarters and for receiving mail. The User is not authorized to use the Business Address for another purpose.
(2) Wespa offers several virtual address packages, which differ according to included contents and price. The basic service, regardless of package, is providing address for company registration and mail receipt, while depending on the package, additional content may be a certain number of FlyDesk visits, certain number of hours of meeting room use, as well as a certain percentage discount for event space rental.
Obveze Korisnika za virtualnu adresu / User Obligations for Virtual Address

(1) Korisnik ima obvezu koristiti Poslovnu Adresu na način dogovoren Ugovorom i Općim Uvjetima.
(2) U slučaju da Korisnik ne obavijesti Wespu na vrijeme o promjeni sjedišta društva ili o bilo kojoj drugoj bitnoj promjeni, Wespa neće biti smatrana odgovornom za poštu primljenu na Poslovnoj Adresi nakon datuma promjene.
(3) Nadalje, u slučaju da Korisnik ne obavijesti Wespu o učinjenim promjenama, Wespa ima pravo otkazati Ugovor bez poštivanja otkaznog roka.

(1) The User has the obligation to use the Business Address in the manner agreed by the Contract and General Terms.
(2) In case the User does not notify Wespa in time about company headquarters change or any other essential change, Wespa will not be considered responsible for mail received at the Business Address after the change date.
(3) Furthermore, in case the User does not notify Wespa about made changes, Wespa has the right to terminate the Contract without observing notice period.
Obveze Wespe za virtualnu adresu / Wespa's Obligations for Virtual Address

(1) U sklopu usluge zaprimanja pošte, Wespa će:
- Zaprimati poštu adresiranu na Korisnika
- Slati obavijest s fotografijom omotnice na e-mail adresu koju je Korisnik naveo prilikom sklapanja Ugovora
- Čuvati zaprimljenu poštu najviše 30 dana od dana primitka bez dodatne naknade
(2) Korisnik je dužan preuzeti svoju poštu u roku od 5 (pet) radnih dana od primitka obavijesti o prispijeću pošte.
(3) Nakon isteka roka od 30 dana od dana primitka pošte, Wespa će Korisniku obračunati naknadu za skladištenje pošte u iznosu od 1 € + PDV po danu po pošiljci.
(4) Wespa ni na koji način nije odgovorna za radnje ili propuste vezane za poštu primljenu na Poslovnoj Adresi.
(5) Pošta se otvara i skenira isključivo na pisani zahtjev Korisnika. U slučaju da Korisnik zatraži da mu se pored skenirane pošte dostavi i original, Wespa će mu poslati original preporučenom pošiljkom, osim ako Korisnik izričito ne zatraži neku drugu vrstu dostave. Korisnik će snositi sve troškove slanja originala.

(1) As part of mail receipt service, Wespa will:
- Receive mail addressed to the User
- Send notification with envelope photograph to the email address specified by the User when concluding the Contract
- Keep received mail for maximum 30 days from receipt date without additional charge
(2) The User is obliged to collect their mail within 5 (five) working days from receiving notification about mail arrival.
(3) After expiration of 30 days from mail receipt date, Wespa will charge the User a mail storage fee in the amount of 1 € + VAT per day per shipment.
(4) Wespa is not responsible in any way for actions or omissions related to mail received at the Business Address.
(5) Mail is opened and scanned exclusively upon written User request. In case the User requests to receive the original in addition to scanned mail, Wespa will send them the original by registered mail, unless the User explicitly requests another type of delivery. The User will bear all costs of sending the original.
Korištenje prostora u sklopu virtualne adrese / Use of Premises as Part of Virtual Address

(1) Korištenje FlyDesk prostora: Jedan dolazak podrazumijeva korištenje jednog stola u coworking prostoru za jednu osobu tijekom jednog radnog dana (od 8:00 do 20:00 sati). Dolazak više osoba računa se kao više iskorištenih dolazaka (npr. Tri osobe računaju se kao tri dolaska). Obvezna je prethodna rezervacija na recepciji ili putem e-maila, kao i prijava na recepciji prilikom dolaska. Nakon što se iskoriste svi uključeni dolasci, dodatni dolasci naplaćuju se prema važećem cjeniku.
(2) Korištenje soba za sastanke: Sati sastanaka mogu se koristiti sukladno zakupljenom paketu, uz obveznu prethodnu rezervaciju putem recepcije ili e-maila te prijavu na recepciji prilikom dolaska. Nakon što se iskoriste svi uključeni sati, dodatni sati naplaćuju se prema važećem cjeniku.
(3) Korištenje prostora moguće je isključivo radnim danom (pon-pet) tijekom redovnog radnog vremena.
(4) Na korištenje fizičkih prostora na odgovarajući način primjenjuju se Opći Uvjeti uz Ugovor o zakupu kao i Kućni Red.

(1) Use of FlyDesk space: One visit means using one desk in coworking space for one person during one working day (from 8:00 to 20:00). Visit by multiple people counts as multiple used visits (e.g. three people count as three visits). Prior reservation at reception or via email is mandatory, as well as registration at reception upon arrival. After all included visits are used, additional visits are charged according to valid price list.
(2) Use of meeting rooms: Meeting hours may be used according to purchased package, with mandatory prior reservation via reception or email and registration at reception upon arrival. After all included hours are used, additional hours are charged according to valid price list.
(3) Use of premises is possible exclusively on weekdays (Mon-Fri) during working hours.
(4) General Terms under Lease Agreement and House Rules apply appropriately to the use of physical premises.
Plaćanje naknade za uslugu virtualne adrese / Payment of Fee for Virtual Address Service

Korisnik se obvezuje uredno plaćati naknadu na način i u rokovima određenim odredbama Ugovora i bez posebnog poziva. Ugovorenu naknadu Korisnik će platiti unaprijed, i to najkasnije do datuma dospijeća navedenog na fakturi koju izda Wespa.

The User undertakes to pay the fee regularly in the manner and within deadlines determined by Contract provisions and without special invitation. The User will pay the agreed fee in advance, no later than the due date specified on the invoice issued by Wespa.
Trajanje i prestanak Ugovora za virtualnu adresu / Duration and Termination of Contract for Virtual Address

(1) Ugovor za virtualnu adresu sklapa se na određeni rok od 12 mjeseci.
(2) Obje strane mogu otkazati Ugovor bez obrazloženja, uz poštivanje otkaznog roka od 30 dana.
(3) Wespa zadržava pravo jednostranog raskida Ugovora bez poštivanja otkaznog roka u sljedećim slučajevima:
- Nepodmirivanje financijskih obveza, ili kašnjenje u podmirivanju
- Neispunjavanje uvjeta korištenja
- Kršenje dogovora o korištenju FlyDesk dolazaka i/ili prostora
- Nepoštivanje Kućnog Reda
- Ako Wespa zbog reorganizacije prostora, radova ili drugih objektivnih razloga mora navedeni prostor imati u nesmetanom posjedu
(4) Nakon raskida Ugovora, Korisnik ima rok od 30 dana da se odjavi s Wespine adrese. Nakon prestanka Ugovora, Wespa nije dužna preuzimati poštu Korisnika niti ga obavještavati o istoj.

(1) The virtual address Contract is concluded for a definite term of 12 months.
(2) Both parties may terminate the Contract without explanation, with observance of a 30-day notice period.
(3) Wespa reserves the right of unilateral Contract termination without observing notice period in the following cases:
- Non-settlement of financial obligations, or delay in settlement
- Non-fulfillment of usage conditions
- Breach of agreement on FlyDesk visits and/or premises use
- Non-compliance with House Rules
- If Wespa must have the specified space in undisturbed possession due to space reorganization, works or other objective reasons
(4) After Contract termination, the User has 30 days to deregister from Wespa's address. After Contract termination, Wespa is not obliged to receive User's mail nor notify them about it.
Definicije za potrebe ovog poglavlja / Definitions for the Purposes of This Chapter

Događanje znači skup, konferencija, radionica, prezentacija, proslava ili bilo koji drugi oblik organiziranog okupljanja koji se na temelju Ugovora odnosno prihvaćene ponude održava u Prostorima.
Organizator znači Korisnik ili treća osoba koji s Wespom ugovara održavanje Događanja.
Potvrda rezervacije znači pisanu potvrdu kojom Wespa potvrđuje da je termin Događanja rezerviran za Organizatora.
Završna potvrda znači pisanu obavijest koju Organizator dostavlja Wespi najkasnije 3 (tri) dana prije Događanja, a koja sadrži: (i) točan broj sudionika, (ii) konačno prihvaćenu ponudu i (iii) satnice posluživanja, odnosno planiranu agendu Događanja.

Event means a gathering, conference, workshop, presentation, celebration or any other form of organized assembly held on the Premises on the basis of the Agreement or an accepted offer.
Organizer means a User or a third party that contracts with Wespa for the holding of an Event.
Booking Confirmation means a written confirmation by which Wespa confirms that the Event date has been reserved for the Organizer.
Final Confirmation means a written notice that the Organizer delivers to Wespa no later than 3 (three) days before the Event, containing: (i) the precise number of participants, (ii) the finally accepted offer, and (iii) the service schedule, i.e. the planned agenda of the Event.
Rezervacija termina / Booking of Dates

(1) Broj sudionika Događanja određuje Organizator, pri čemu je ograničen stvarnim kapacitetom Prostora.
(2) Upit za rezervaciju termina ne obvezuje Wespu na čuvanje termina. Do trenutka izdavanja Potvrde rezervacije, odnosno uplate depozita kada je isti ponudom predviđen, Wespa zadržava pravo isti termin ponuditi trećima, bez prethodne obavijesti i bez ikakve odgovornosti prema Organizatoru koji je upit podnio.
(3) Termin se smatra rezerviranim isključivo nakon što Wespa Organizatoru izda Potvrdu rezervacije, a tamo gdje je to ponudom predviđeno, i nakon što Organizator uplati depozit u skladu s odredbama o plaćanju iz ovih Općih Uvjeta.
(4) Ukoliko Organizator ne uplati depozit u roku iz ponude, Wespa nije obvezna čuvati rezervirani termin.

(1) The number of Event participants is determined by the Organizer, subject to the actual capacity of the Premises.
(2) An inquiry regarding a booking does not oblige Wespa to hold the date. Until the issuance of the Booking Confirmation or, where the offer so provides, until payment of the deposit, Wespa reserves the right to offer the same date to third parties, without prior notice and without any liability towards the Organizer who submitted the inquiry.
(3) A date shall be deemed reserved only after Wespa has issued the Booking Confirmation to the Organizer and, where the offer so provides, after the Organizer has paid the deposit in accordance with the payment provisions of these General Terms and Conditions.
(4) If the Organizer fails to pay the deposit within the time limit set out in the offer, Wespa shall not be obliged to hold the reserved date.
Završna potvrda / Final Confirmation

(1) Organizator je obvezan Wespi pisanim putem dostaviti Završnu potvrdu najkasnije 3 (tri) dana prije početka Događanja.
(2) Wespa obračunava usluge isključivo prema posljednjoj dostavljenoj i potvrđenoj Završnoj potvrdi.
(3) Izmjene Završne potvrde dostavljene Wespi u roku kraćem od 3 (tri) dana prije Događanja, a posebno izmjene izvršene na dan Događanja, smatraju se hitnom organizacijskom promjenom. Wespa ima pravo takve izmjene naplatiti po uvećanoj stopi razmjernoj uvećanoj vrijednosti usluge na koju se izmjena odnosi, a u svakom slučaju zadržava pravo odbiti izmjenu ako ista nije organizacijski izvediva.
(4) Ukoliko Događanje uključuje maloljetne sudionike ili sudionike kojima je zbog zdravstvenog ili drugog stanja potrebna posebna skrb, Organizator je obvezan o tome unaprijed pisanim putem obavijestiti Wespu. Organizator preuzima punu i isključivu odgovornost za sigurnost, nadzor i dobrobit takvih sudionika za cijelo vrijeme trajanja Događanja u Prostorima. Wespa ne odgovara za bilo kakvu štetu ili ozljedu nastalu uslijed propuštanja Organizatora da osigura odgovarajući nadzor.

(1) The Organizer is obliged to deliver the Final Confirmation to Wespa in writing no later than 3 (three) days before the start of the Event.
(2) Wespa shall invoice services exclusively in accordance with the most recently delivered and confirmed Final Confirmation.
(3) Amendments to the Final Confirmation delivered to Wespa less than 3 (three) days before the Event, and in particular amendments made on the day of the Event itself, shall be considered urgent organizational changes. Wespa shall be entitled to charge for such amendments at an increased rate proportionate to the increased value of the service to which the amendment relates, and shall in any case reserve the right to refuse the amendment if it is not organizationally feasible.
(4) If the Event involves minor participants or participants who, due to health or other conditions, require special care, the Organizer is obliged to notify Wespa thereof in writing in advance. The Organizer assumes full and exclusive responsibility for the safety, supervision and well-being of such participants throughout the duration of the Event on the Premises. Wespa shall not be liable for any damage or injury arising from the Organizer's failure to provide appropriate supervision.
Pripremne radnje i tehnička organizacija / Preparatory Actions and Technical Organization

(1) Organizator je dužan program Događanja proslijediti Wespinim koordinatorima najmanje 48 sati prije početka Događanja.
(2) Donošenje vlastite opreme, promotivnih materijala, natpisa i sličnog dozvoljeno je samo uz dozvolu Wespinih koordinatora. Vlastita oprema mora biti u skladu s pravilima koja postavlja Wespa, posebno onima sadržanim u Kućnom Redu, a Organizator je u najvećoj mogućoj razumnoj mjeri dužan osigurati da ta pravila poštuju svi sudionici Događanja.
(3) Označavanje Prostora logotipovima, promotivnim materijalima ili posterima nije dozvoljeno bez dozvole Wespinog koordinatora.
(4) Tijekom korištenja iznajmljene opreme i sale, odnosno samih Prostora, Organizator je u potpunosti odgovoran za iste. U slučaju oštećenja Prostora ili opreme, Wespa će Organizatoru ispostaviti račun za popravak štete ili kupnju nove opreme kako bi se Prostori, odnosno sala, vratili u izvorno stanje.
(5) Unošenje i konzumiranje donesenih prehrambenih proizvoda nije dozvoljeno bez prethodne dozvole Wespinih koordinatora.
(6) Donošenje vlastitih napitaka ili napitaka koje je dostavio sponzor dozvoljeno je isključivo uz prethodno odobrenje koordinatora i pod sljedećim uvjetima: obvezna otpremnica na kojoj je specificirana roba uz oznaku cijene ili naznaku da se radi o besplatnoj sponzorskoj robi; pakiranje u skladu s pravnim propisima Republike Hrvatske; Organizator odgovara za kvalitetu i količinu donesenih napitaka; Wespa zadržava pravo naplatiti uslugu posluživanja donesenih napitaka.
(7) Ukoliko dio Prostora koji se koristi u svrhu Događanja treba pripremiti dan ranije, naplaćuje se polovina dnevnog najma sale, kao i rad osoblja ako je njegov angažman potreban.
(8) Wespa zadržava pravo fotografirati ili snimati Događanje u svrhu vlastitog marketinga i promocije, o čemu će unaprijed obavijestiti Organizatora. Wespa se obvezuje pri objavi takvih materijala postupati u skladu s primjenjivim propisima o zaštiti osobnih podataka i neće objavljivati materijale koji identificiraju pojedine sudionike bez prethodne suglasnosti Organizatora. Organizator koji ne želi biti predmet takvog snimanja obvezan je o tome Wespu pisanim putem obavijestiti najkasnije 48 sati prije početka Događanja.

(1) The Organizer is obliged to forward the Event programme to Wespa's coordinators at least 48 hours before the start of the Event.
(2) Bringing one's own equipment, promotional materials, signage and similar items is permitted only with the consent of Wespa's coordinators. Such equipment must comply with the rules set by Wespa, in particular those contained in the House Rules, and the Organizer is obliged, to the greatest reasonable extent, to ensure that all Event participants observe these rules.
(3) The marking of the Premises with logos, promotional materials or posters is not permitted without the consent of Wespa's coordinator.
(4) During the use of the rented equipment, the hall, and the Premises as such, the Organizer is fully responsible for the same. In the event of damage to the Premises or equipment, Wespa shall invoice the Organizer for the cost of repair or for the purchase of new equipment in order to restore the Premises, i.e. the hall, to their original condition.
(5) The bringing in and consumption of outside food products is not permitted without prior consent of Wespa's coordinators.
(6) Bringing one's own beverages or beverages delivered by a sponsor is permitted exclusively with the prior approval of the coordinator and under the following conditions: a mandatory delivery note specifying the goods, with an indication of the price or, where applicable, that the goods constitute free sponsorship goods; packaging compliant with the legal regulations of the Republic of Croatia; the Organizer is responsible for the quality and quantity of the beverages brought in; Wespa reserves the right to charge for the service of serving such beverages.
(7) If a part of the Premises used for the Event needs to be prepared the day before, half of the daily hall rental fee shall be charged, as well as the cost of staff if their engagement is required.
(8) Wespa reserves the right to photograph or record the Event for the purposes of its own marketing and promotion, and shall notify the Organizer thereof in advance. Wespa undertakes, when publishing such materials, to act in accordance with the applicable personal data protection regulations and shall not publish materials identifying individual participants without the prior consent of the Organizer. An Organizer who does not wish to be the subject of such recording is obliged to notify Wespa thereof in writing no later than 48 hours before the start of the Event.
Tijek Događanja / Course of the Event

(1) Događanje se odvija prema terminskom planu i agendi potvrđenima u Završnoj potvrdi.
(2) Eventualno kašnjenje početka Događanja, bilo zbog zakašnjelog dolaska gostiju, kašnjenja Organizatora ili iz bilo kojih drugih razloga na strani Organizatora, ne predstavlja osnovu za produženje dogovorenog trajanja Događanja bez dodatne naknade.
(3) Ukoliko Događanje traje dulje od termina navedenog u Završnoj potvrdi, Wespa ima pravo naplatiti produženje prema važećem cjeniku za svaki započeti sat, uključujući troškove osoblja, posluživanja i najma prostora.
(4) Produženje Događanja moguće je isključivo uz prethodnu suglasnost Wespinog koordinatora i ovisno o raspoloživosti prostora i osoblja.
(5) Ukoliko Organizator namjerava angažirati zaštitare ili druge osobe čija je uloga nadgledanje i upravljanje protokom ljudi, dužan je o tome prethodno se konzultirati s Wespinim koordinatorom.
(6) Prilikom organizacije i održavanja Događanja, Organizator je obvezan u potpunosti poštivati sve epidemiološke mjere i sigurnosna ograničenja. Organizator je obvezan nadoknaditi Wespi puni iznos sve štete uzrokovane kršenjem navedenih mjera i pravila, uključujući, ali ne ograničavajući se na iznose prekršajnih sankcija, kao i moguće zahtjeve trećih strana. Organizator preuzima punu odgovornost za sigurnost sudionika i osoblja angažiranog za potrebe Događanja.

(1) The Event shall take place in accordance with the schedule and agenda confirmed in the Final Confirmation.
(2) Any delay in the start of the Event, whether due to the late arrival of guests, the Organizer's delay or for any other reasons attributable to the Organizer, shall not constitute grounds for extending the agreed duration of the Event without additional charge.
(3) If the Event lasts longer than the time stated in the Final Confirmation, Wespa shall be entitled to charge for the extension in accordance with the applicable price list for each commenced hour, including the cost of staff, service and rental of the Premises.
(4) Extension of the Event is possible only with the prior consent of Wespa's coordinator and subject to the availability of the Premises and staff.
(5) If the Organizer intends to engage security personnel or other persons whose role is to supervise and manage the flow of people, the Organizer is obliged to consult Wespa's coordinator in advance.
(6) In organizing and holding the Event, the Organizer is obliged to fully comply with all epidemiological measures and safety restrictions. The Organizer shall reimburse Wespa for the full amount of any damage caused by violations of the said measures and rules, including but not limited to the amounts of misdemeanour sanctions, as well as any claims by third parties. The Organizer assumes full responsibility for the safety of participants and staff engaged for the purposes of the Event.
Plaćanje / Payment

(1) Plaćanje se vrši avansno, na temelju ponude koju izdaje Wespa. Plaćanje dospijeva najkasnije 3 (tri) dana prije održavanja Događanja. Organizator je dužan prilikom plaćanja koristiti odgovarajući poziv na broj iz ponude te potvrdu o plaćanju bez odgode proslijediti na adresu elektroničke pošte: financije@wespa.hr.
(2) U slučaju kašnjenja s plaćanjem avansa, Wespa ima pravo obračunati zatezne kamate u visini propisanoj Zakonom o obveznim odnosima, počevši od dana dospijeća pa do dana plaćanja. Ukoliko Organizator avans ne plati u roku iz stavka (1) ovoga članka, Wespa može, bez obveze prethodne opomene ili ostavljanja naknadnog roka, jednostrano otkazati rezervaciju, pri čemu Organizator nema pravo na povrat eventualno uplaćenog depozita ni bilo kakvu drugu naknadu, odštetu ili nadoknadu štete s te osnove.
(3) Ponuda i cijene unutar nje kreiraju se specifično za svako pojedinačno Događanje i upit. Promjene u broju gostiju (na više), najmovima sala, cateringu ili promjene rasporeda smatraju se novim zahtjevima, te se u tom slučaju izdaje nova ponuda s promijenjenim uvjetima i cijenama.
(4) Wespa može, po vlastitoj ocjeni te ovisno o opsegu i vrijednosti Događanja, uvjetovati rezervaciju termina uplatom depozita u iznosu navedenom u ponudi. Ukoliko Wespa odluči zatražiti depozit, Potvrda rezervacije izdaje se tek nakon što Organizator depozit uplati. Depozit se uračunava u konačni iznos računa. U slučaju otkazivanja Događanja, na depozit se na odgovarajući način primjenjuju odredbe članka 35 ovih Općih Uvjeta o naknadi za otkazivanje.
(5) Organizator snosi troškove za sve sudionike Događanja te osobe povezane s Događanjem, osim ako Ugovorom ili obvezujućom ponudom nije drugačije navedeno. Sve usluge koje nisu navedene u Ugovoru, ponudi ili ranijoj korespondenciji naplaćuju se po stvarnom trošku i u skladu s redovitim cijenama.
(6) Račun za pruženu uslugu ispostavlja se nakon održanog Događanja.

(1) Payment shall be made in advance, on the basis of the offer issued by Wespa. Payment is due no later than 3 (three) days before the holding of the Event. When making payment, the Organizer is obliged to use the appropriate payment reference number from the offer and to forward the payment confirmation without delay to the e-mail address: financije@wespa.hr.
(2) In the event of late payment of the advance, Wespa shall be entitled to charge statutory default interest at the rate prescribed by the Civil Obligations Act, from the due date until the date of payment. If the Organizer fails to pay the advance within the time limit set out in paragraph (1) of this Article, Wespa may, without any obligation to issue a prior warning or to grant an additional time limit, unilaterally cancel the booking, in which case the Organizer shall not be entitled to a refund of any deposit paid, nor to any other compensation, indemnity or damages on that ground.
(3) The offer and the prices contained therein are created specifically for each individual Event and inquiry. Changes in the number of guests (upward), hall rentals, catering or schedule changes shall be considered new requests, and a new offer shall be issued in such cases with amended terms and prices.
(4) Wespa may, at its own discretion and depending on the scope and value of the Event, condition the booking of the date upon payment of a deposit in the amount specified in the offer. If Wespa decides to request a deposit, the Booking Confirmation shall be issued only after the Organizer has paid the deposit. The deposit shall be credited towards the final invoice amount. In the event of cancellation of the Event, the provisions of Article 35 of these General Terms and Conditions concerning cancellation fees shall apply mutatis mutandis to the deposit.
(5) The Organizer bears the costs for all Event participants and persons associated with the Event, unless otherwise stipulated in the Agreement or in a binding offer. All services not specified in the Agreement, the offer or prior correspondence shall be charged at actual cost and in accordance with regular prices.
(6) The invoice for the service rendered shall be issued after the Event has been held.
Otkazivanje Događanja / Cancellation of the Event

(1) U slučaju otkazivanja Događanja, primjenjuju se sljedeće naknade:
- otkazivanje više od 14 dana prije Događanja: povrat 50% plaćene naknade;
- otkazivanje između 8 i 14 dana prije Događanja: povrat 25% plaćene naknade;
- otkazivanje u roku kraćem od 7 dana (uključujući 7. dan, što uključuje i nepojavljivanje) prije Događanja: nema povrata; naplaćuje se 100% vrijednosti ugovorene usluge.
(2) Za obračun usluga mjerodavan je broj sudionika naveden u posljednjoj Završnoj potvrdi. Smanjenje broja sudionika prijavljeno u roku kraćem od 3 (tri) Radna dana prije Događanja ne uzima se u obzir pri obračunu, te se naplaćuje broj sudionika iz posljednje Završne potvrde.
(3) U slučaju povećanja broja sudionika u odnosu na Završnu potvrdu, naplaćuje se stvarni broj posluživanih gostiju prema stvarnoj konzumaciji.

(1) In the event of cancellation of the Event, the following fees shall apply:
- cancellation more than 14 days before the Event: refund of 50% of the fee paid;
- cancellation between 8 and 14 days before the Event: refund of 25% of the fee paid;
- cancellation within less than 7 days (including the 7th day, and including no-show) before the Event: no refund; 100% of the value of the contracted service shall be charged.
(2) The invoicing of services shall be based on the number of participants stated in the most recent Final Confirmation. A reduction in the number of participants reported less than 3 (three) Working Days before the Event shall not be taken into account when invoicing, and the number of participants from the most recent Final Confirmation shall be charged.
(3) In the event of an increase in the number of participants compared to the Final Confirmation, the actual number of guests served shall be charged based on actual consumption.
Definicije i opseg članstva / Definitions and Scope of Membership

Članstvo znači pretplatnički ugovorni odnos između Wespe i Člana, kojim Wespa Članu pruža paket usluga i pogodnosti opisan u ovim Općim Uvjetima i na mrežnim stranicama Wespe.
Član znači fizička osoba koja je s Wespom sklopila Ugovor o članstvu i kojoj je Wespa aktivirala članstvo u skladu s ovim Općim Uvjetima.
Ugovor o članstvu znači ugovor između Wespe i Člana koji se smatra sklopljenim aktivacijom članstva u skladu s člankom 37 ovih Općih Uvjeta, a sadržajno ga čine ovi Opći Uvjeti, Kućni Red, prihvaćeni cjenik te druga obvezujuća pravila Wespe.
Platforma znači mrežna aplikacija Wespe putem koje Član pristupa svom članskom sučelju, upravlja članstvom i koristi pogodnosti.
Tapkey znači sustav digitalnog pristupa Prostorima koji Član koristi za ulazak u skladu s člankom 39 ovih Općih Uvjeta.
Stripe znači platni servis Stripe Payments Europe, Limited, putem kojeg se obavlja naplata pretplate i kojim Član samostalno upravlja svojom pretplatom putem korisničkog portala.
(2) Članstvo je dostupno kako Korisnicima koji s Wespom već imaju sklopljen Ugovor, tako i trećim osobama koje s Wespom nemaju drugi ugovorni odnos.
(3) Sklapanje Ugovora o članstvu ne utječe na prava i obveze iz drugih Ugovora koje je Član eventualno sklopio s Wespom, niti se pogodnosti iz članstva uračunavaju u prava iz tih drugih Ugovora, osim ako za pojedinu pogodnost nije izričito drugačije određeno.

Membership means a subscription-based contractual relationship between Wespa and the Member, under which Wespa provides the Member with the package of services and benefits described in these General Terms and Conditions and on Wespa's website.
Member means a natural person who has concluded a Membership Agreement with Wespa and whose membership Wespa has activated in accordance with these General Terms and Conditions.
Membership Agreement means the agreement between Wespa and the Member that is deemed concluded upon activation of membership in accordance with Article 37 of these General Terms and Conditions, and which in substance consists of these General Terms and Conditions, the House Rules, the accepted price list, and other binding rules of Wespa.
Platform means Wespa's online application through which the Member accesses their member interface, manages their membership and uses the benefits.
Tapkey means the digital access system to the Premises which the Member uses for entry in accordance with Article 39 of these General Terms and Conditions.
Stripe means the payment service Stripe Payments Europe, Limited, through which the subscription is collected and through which the Member independently manages their subscription via the user portal.
(2) Membership is available both to Users who already have an Agreement concluded with Wespa and to third parties that do not have any other contractual relationship with Wespa.
(3) The conclusion of a Membership Agreement shall not affect the rights and obligations arising from other Agreements which the Member may have concluded with Wespa, nor shall the membership benefits be credited against the rights arising from such other Agreements, unless expressly provided otherwise for a particular benefit.
Sklapanje Ugovora o članstvu i aktivacija / Conclusion of Membership Agreement and Activation

(1) Ugovor o članstvu sklapa se na daljinu, putem Platforme, kroz sljedeće korake: registracija korisničkog računa unosom adrese elektroničke pošte i lozinke; odabir paketa članstva i prikaz cijene te uvjeta članstva; prihvat ovih Općih Uvjeta i potvrda o upoznatosti s pravnim posljedicama prihvata; plaćanje putem servisa Stripe.
(2) Prilikom sklapanja Ugovora o članstvu, prije pokretanja plaćanja, Član pisanim putem (potvrdom putem za to predviđenih polja na Platformi) potvrđuje da je upoznat s ovim Općim Uvjetima i da ih u cijelosti prihvaća.
(3) Ugovor o članstvu smatra se sklopljenim u trenutku kada Wespa Članu uspješno aktivira članstvo, što uključuje: dodjelu digitalnog pristupa kroz sustav Tapkey, generiranje jedinstvene QR članske iskaznice te omogućavanje pristupa članskom sučelju na Platformi.
(4) Wespa zadržava pravo odbiti sklapanje Ugovora o članstvu ili otkazati postupak sklapanja u slučaju opravdanih razloga, uključujući, ali ne ograničavajući se na: postojanje nepodmirenih financijskih obveza Člana prema Wespi po ranijim ugovorima, raniju povredu Kućnog Reda ili ovih Općih Uvjeta od strane Člana, odnosno tehničke razloge nemogućnosti aktivacije.

(1) The Membership Agreement is concluded at a distance, via the Platform, through the following steps: registration of a user account by entering an e-mail address and password; selection of the membership package and display of the price and membership conditions; acceptance of these General Terms and Conditions and confirmation of awareness of the legal consequences of acceptance; payment via the Stripe service.
(2) When concluding the Membership Agreement, prior to initiating payment, the Member shall confirm in writing (by confirmation through the designated fields on the Platform) that they are familiar with these General Terms and Conditions and that they accept them in their entirety.
(3) The Membership Agreement shall be deemed concluded at the moment when Wespa successfully activates the Member's membership, which includes: granting digital access through the Tapkey system, generating a unique QR membership card, and enabling access to the member interface on the Platform.
(4) Wespa reserves the right to refuse the conclusion of the Membership Agreement or to cancel the conclusion process in the event of justified reasons, including but not limited to: the existence of outstanding financial obligations of the Member towards Wespa under earlier agreements, prior violation of the House Rules or these General Terms and Conditions by the Member, or technical reasons preventing activation.

(1) Članstvo Članu omogućuje sljedeće pogodnosti:
- (i) 24/7 pristup Prostorima putem digitalnog sustava Tapkey, na način uređen člankom 39 ovih Općih Uvjeta;
- (ii) rezervaciju podcast studija u skladu s pravilima i raspoloživošću koju Wespa objavljuje na Platformi;
- (iii) korištenje soba za sastanke u trajanju od najviše 2 (dva) sata mjesečno;
- (iv) pristup WESPA zajednici, uključujući komunikacijske kanale i pozivnice za WESPA Kolektiv, te pregled i sudjelovanje na nadolazećim događanjima;
- (v) korištenje dinamičkih pogodnosti, uključujući popuste na hranu i piće u Prostorima, partnerske ponude i posebne diskontne kodove;
- (vi) jedinstvenu QR člansku iskaznicu koja Članu služi za identifikaciju prilikom dolaska u Prostore i za korištenje programa vjernosti.
(2) Rezervacije sala za sastanke podliježu općim pravilima Wespe o rezervaciji i otkazivanju te se odnose isključivo na termine nakon 17:00 sati, pri čemu se neiskorišteni sati ne prenose u sljedeća obračunska razdoblja.
(3) Sadržaj dinamičkih pogodnosti Wespa može mijenjati, dopunjavati ili ukidati u svakom trenutku, bez prethodne najave.
(4) Pogodnosti iz Članstva su strogo osobne i Član ih ne smije ustupati, prenositi ni dijeliti s trećim osobama.

(1) Membership entitles the Member to the following benefits:
- (i) 24/7 access to the Premises through the Tapkey digital system, in the manner governed by Article 39 of these General Terms and Conditions;
- (ii) the reservation of the podcast studio in accordance with the rules and availability published by Wespa on the Platform;
- (iii) the use of meeting rooms for a maximum of 2 (two) hours per month;
- (iv) access to the WESPA community, including communication channels and invitations to the WESPA Kolektiv, as well as the ability to view and participate in upcoming events;
- (v) the use of dynamic benefits, including discounts on food and beverages on the Premises, partner offers and special discount codes;
- (vi) a unique QR membership card serving the Member for identification upon arrival at the Premises and for use of the loyalty programme.
(2) Reservations of meeting rooms apply exclusively to time slots after 17:00, whereby unused hours are not carried over to subsequent billing periods.
(3) The content of dynamic benefits may be changed, supplemented or discontinued by Wespa at any time, without prior notice.
(4) The Membership benefits are strictly personal, and the Member may not assign, transfer or share them with third parties.
Pristup Prostorima i Tapkey / Access to Premises and Tapkey

(1) Aktivacijom članstva Wespa Članu kroz sustav Tapkey dodjeljuje digitalni pristup Prostorima koji Članu omogućuje ulazak 24 sata dnevno, 7 dana u tjednu, za vrijeme trajanja članstva.
(2) Digitalni pristup je isključivo osobno pravo Člana. Član nije ovlašten: ustupati, prenositi ili dijeliti digitalni pristup s trećim osobama; omogućiti ulazak u Prostore trećim osobama korištenjem svog digitalnog pristupa; neovlašteno umnožavati, kopirati ili prosljeđivati podatke kojima se ostvaruje digitalni pristup.
(3) Član je dužan postupati s digitalnim pristupom s pažnjom dobrog domaćina te poduzeti sve razumne mjere zaštite od neovlaštenog pristupa od strane trećih osoba.
(4) U slučaju gubitka, krađe ili kompromitiranja uređaja na kojem se nalazi Tapkey aplikacija, Član je dužan o tome bez odgode, a najkasnije u roku od 24 sata od saznanja, pisanim putem obavijestiti Wespu kako bi se izvršilo opozivanje pristupa.
(5) Član odgovara za svu štetu nastalu kao posljedica neovlaštenog ustupanja ili dijeljenja digitalnog pristupa, propuštanja mjera zaštite, nepravovremenog obavještavanja Wespe, ili neosiguravanja Prostora prilikom napuštanja.
(8) Wespa zadržava pravo opozvati ili privremeno onemogućiti digitalni pristup u slučaju prestanka članstva, neplaćanja pretplate, povrede odredbi ovoga članka ili Kućnog Reda, te opravdane sumnje u zlouporabu pristupa.

(1) Upon activation of membership, Wespa shall grant the Member, through the Tapkey system, digital access to the Premises enabling the Member to enter 24 hours a day, 7 days a week, for the duration of the membership.
(2) The digital access is exclusively the personal right of the Member. The Member is not authorized to: assign, transfer or share their digital access with third parties, in any manner whatsoever; enable third parties to enter the Premises using their digital access; make unauthorized copies of, or forward, data by which digital access is achieved.
(3) The Member is obliged to handle the digital access with the diligence of a good steward and to take all reasonable measures to protect it from unauthorized access by third parties.
(4) In the event of loss, theft or compromise of the device containing the Tapkey application, the Member is obliged to notify Wespa thereof in writing without delay, and no later than within 24 hours of becoming aware of it, so that access may be revoked.
(5) The Member is liable for all damage arising as a consequence of unauthorized assignment or sharing of digital access, failure to take protective measures, untimely notification of Wespa, or failure to secure the Premises upon leaving.
(8) Wespa reserves the right to revoke or temporarily disable digital access in the event of termination of the membership, non-payment of the subscription, breach of the provisions of this Article or of the House Rules, or a reasonable suspicion of abuse of access.
Plaćanje, trajanje članstva i izmjena cijene / Payment, Duration and Price Changes

(1) Naknada za članstvo (pretplata) plaća se unaprijed, u iznosu i obračunskom razdoblju navedenima na Platformi prilikom sklapanja Ugovora o članstvu. Plaćanje se obavlja isključivo putem servisa Stripe.
(2) Ugovor o članstvu sklapa se na neodređeno vrijeme i obnavlja se automatski na kraju svakog obračunskog razdoblja, sve dok ga Član ne otkaže.
(3) Wespa zadržava pravo izmijeniti cijenu pretplate. O svakoj izmjeni cijene Wespa će Člana obavijestiti pisanim putem, na adresu elektroničke pošte navedenu prilikom registracije, najmanje 30 (trideset) dana prije početka obračunskog razdoblja na koje se nova cijena primjenjuje.
(4) U slučaju izmjene cijene, Član ima pravo otkazati Ugovor o članstvu prije isteka tekućeg obračunskog razdoblja. Ako Član u roku ne otkaže Ugovor, smatrat će se da je novu cijenu prihvatio.
(5) U slučaju neuspjele naplate pretplate, Wespa ima pravo privremeno onemogućiti digitalni pristup i pristup pogodnostima članstva, te u slučaju neplaćanja u roku od 7 dana jednostrano raskinuti Ugovor o članstvu.
(6) Član je dužan voditi računa o ažurnosti svojih platnih podataka u sustavu Stripe.
(7) Pretplata se ni u kojem slučaju ne vraća razmjerno za neiskorišteno razdoblje članstva, osim u slučajevima u kojima je obveza povrata izričito predviđena ovim Općim Uvjetima ili prisilnim propisima.

(1) The membership fee (subscription) shall be paid in advance, in the amount and for the billing period specified on the Platform at the time of the conclusion of the Membership Agreement. Payment shall be made exclusively through the Stripe service.
(2) The Membership Agreement is concluded for an indefinite period and is automatically renewed at the end of each billing period, until terminated by the Member.
(3) Wespa reserves the right to change the subscription price. Wespa shall notify the Member of any change in price in writing, to the e-mail address provided upon registration, at least 30 (thirty) days before the start of the billing period to which the new price applies.
(4) In the event of a price change, the Member has the right to terminate the Membership Agreement before the expiry of the current billing period. If the Member fails to terminate the Agreement within the time limit, the Member shall be deemed to have accepted the new price.
(5) In the event of an unsuccessful subscription charge, Wespa shall be entitled to temporarily disable digital access and access to membership benefits, and if the Member fails to settle the subscription within 7 days, Wespa may unilaterally terminate the Membership Agreement.
(6) The Member is obliged to keep their payment information in the Stripe system up to date.
(7) The subscription shall in no case be refunded proportionately for any unused period of membership, except in cases where the obligation to refund is expressly provided for by these General Terms and Conditions or by mandatory regulations.
Prestanak Ugovora o članstvu / Termination of the Membership Agreement

(1) Član u svakom trenutku može otkazati Ugovor o članstvu samostalno, putem korisničkog portala servisa Stripe.
(2) Otkaz proizvodi učinak u trenutku kada Član u sustavu Stripe potvrdi otkazivanje pretplate. Posljedica otkaza je da se pretplata neće obnoviti za sljedeće obračunsko razdoblje. Članstvo i sve pogodnosti traju do isteka tekućeg, već plaćenog obračunskog razdoblja.
(3) Wespa može jednostrano raskinuti Ugovor o članstvu u slučaju: neplaćanja pretplate; povrede odredbi članka 39 o korištenju digitalnog pristupa; ozbiljne ili ponovljene povrede Kućnog Reda; ponašanja Člana koje ugrožava sigurnost ili dobrobit drugih korisnika ili osoblja Wespe; davanja netočnih ili obmanjujućih podataka prilikom sklapanja Ugovora o članstvu.
(4) U slučaju jednostranog raskida od strane Wespe iz razloga navedenih u stavku 3, Član nema pravo na povrat plaćene pretplate niti na bilo kakvu drugu naknadu.
(5) Prestankom Ugovora o članstvu po bilo kojoj osnovi: prestaje digitalni pristup Prostorima; prestaje važiti QR članska iskaznica; prestaje pristup članskom sučelju na Platformi i WESPA zajednici; Član ostaje obvezan podmiriti sve dospjele, a neplaćene financijske obveze prema Wespi.

(1) The Member may terminate the Membership Agreement at any time, independently, via the Stripe service's user portal.
(2) The termination shall take effect at the moment when the Member confirms the cancellation of the subscription in the Stripe system. The consequence of termination is that the subscription will not be renewed for the next billing period. The membership and all related benefits shall continue until the expiry of the current, already paid billing period.
(3) Wespa may unilaterally terminate the Membership Agreement in the event of: non-payment of the subscription; breach of the provisions of Article 39 on the use of digital access; serious or repeated breach of the House Rules; conduct of the Member that endangers the safety or well-being of other users or Wespa's staff; providing inaccurate or misleading information when concluding the Membership Agreement.
(4) In the event of unilateral termination by Wespa on the grounds specified in paragraph 3, the Member shall not be entitled to a refund of the subscription paid or to any other compensation.
(5) Upon termination of the Membership Agreement on any grounds: the digital access to the Premises shall cease; the QR membership card shall cease to be valid; access to the member interface on the Platform and to the WESPA community shall cease; the Member shall remain obliged to settle all due but unpaid financial obligations towards Wespa.
Posebne odredbe za potrošače / Special Provisions for Consumers

(1) Sukladno Zakonu o zaštiti potrošača, Član kao potrošač ima pravo, bez navođenja razloga, jednostrano raskinuti Ugovor o članstvu u roku od 14 (četrnaest) dana od dana sklapanja Ugovora o članstvu, korištenjem obrasca za jednostrani raskid koji je dostupan na Platformi, ili putem druge nedvosmislene izjave.
(2) U slučaju spora između Člana kao potrošača i Wespe, Član ima pravo podnijeti pisani prigovor Wespi na adresu sjedišta Wespe ili na adresu elektroničke pošte: info@wespa.hr. Wespa će na prigovor odgovoriti pisanim putem u roku od 15 dana od primitka prigovora.
(3) Odredbe ovoga članka primjenjuju se isključivo na Članove koji Ugovor o članstvu sklapaju u svojstvu potrošača.

(1) In accordance with the Consumer Protection Act, the Member, as a consumer, has the right, without stating any reasons, to unilaterally terminate the Membership Agreement within 14 (fourteen) days from the date of conclusion of the Membership Agreement, by using the unilateral termination form available on the Platform, or by means of any other unequivocal statement.
(2) In the event of a dispute between the Member as a consumer and Wespa, the Member has the right to file a written complaint with Wespa at the address of Wespa's registered seat or at the e-mail address: info@wespa.hr. Wespa shall respond to the complaint in writing within 15 days of receipt of the complaint.
(3) The provisions of this Article shall apply exclusively to Members who conclude the Membership Agreement in the capacity of a consumer.
Čuvanje poslovne tajne / Keeping Business Secrets

Mjerodavno pravo; rješavanje sporova / Applicable Law; Dispute Resolution

(1) Na sve što nije regulirano Ugovorom, Kućnim Redom i/ili ovim Općim Uvjetima, primjenjuju se odredbe zakona koji regulira odnosnu materiju.
(2) Za Ugovor je mjerodavno hrvatsko pravo. Ugovor se sklapa na hrvatskom i engleskom jeziku, a u slučaju nepodudarnosti, mjerodavna je hrvatska verzija. Isto vrijedi i za ove Opće Uvjete.
(3) Eventualne sporove Ugovorne Strane će rješavati sporazumom, a u slučaju nemogućnosti postizanja sporazumnog rješenja stranke suglasno ugovaraju nadležnost stvarno nadležnog suda u Zagrebu.

(1) For everything not regulated by the Contract, House Rules and/or these General Terms, provisions of laws regulating respective matter apply.
(2) Croatian law is applicable to the Contract. The Contract is concluded in Croatian and English language, and in case of discrepancy, the Croatian version is applicable. The same applies to these General Terms.
(3) Contracting Parties will resolve possible disputes by agreement, and in case of impossibility of reaching agreed solution, parties mutually agree on jurisdiction of materially competent court in Zagreb.
Komunikacija; pisani oblik / Communication; Written Form

(1) Sva pismena i obavijesti po Ugovoru i ovim Općim Uvjetima međusobno dostavljati će se na e-mail adrese navedene u Ugovoru.
(2) Izmjene i dopune Ugovora vrijede samo u pisanom obliku.

(1) All documents and notifications under the Contract and these General Terms will be mutually delivered to email addresses specified in the Contract.
(2) Contract changes and amendments are valid only in written form.
Izostanak odricanja; djelomična ništavost / Absence of Waiver; Partial Nullity

(1) Nevršenje ili kašnjenje bilo koje Ugovorne Strane u vršenju nekog od njezinih prava koja ima prema Ugovoru odnosno ovim Općim Uvjetima ne smatra se odricanjem od toga prava, a pojedinačno ili djelomično vršenje nekog prava iz Ugovora odnosno iz Općih Uvjeta ne sprečava daljnje vršenje toga ili vršenje nekog drugog prava. Prava i pravna sredstva predviđena Ugovorom odnosno Općim Uvjetima ne isključuju prava i pravna sredstva koja bilo koja od Ugovornih Strana inače ima prema zakonu.
(2) Ništavost ili neprovedivost bilo koje odredbe Ugovora ili Općih Uvjeta ni na koji način ne utječe na valjanost ili provedivost ostalih odredbi Ugovora odnosno Općih Uvjeta, a Ugovorne Strane obvezuju se u takvom slučaju uložiti najbolje napore kako bi ispravile takvu ništavu ili neprovedivu odredbu na način da postane valjana i provediva u skladu sa svrhom koja se željela postići ništavom odnosno neprovedivom odredbom.

(1) Non-performance or delay of any Contracting Party in exercising any of their rights under the Contract or these General Terms is not considered waiver of that right, and individual or partial exercise of any right from the Contract or General Terms does not prevent further exercise of that or exercise of any other right. Rights and legal remedies provided by the Contract or General Terms do not exclude rights and legal remedies that any of the Contracting Parties otherwise has according to law.
(2) Nullity or unenforceability of any provision of the Contract or General Terms does not in any way affect the validity or enforceability of other provisions of the Contract or General Terms, and Contracting Parties undertake in such case to make best efforts to correct such null or unenforceable provision in a way that it becomes valid and enforceable in accordance with the purpose that was intended to be achieved by the null or unenforceable provision.

Uvodne odredbe i definicije / Introductory Provisions and Definitions

Wespa znači WESPA HOSPITALITY d.o.o., sa sjedištem u Zagrebu, Radnička cesta 50, OIB: 60367409975, upisano u sudski registar Trgovačkog suda u Zagrebu pod MBS 081467363.
Korisnik znači pravna ili fizička osoba (obrt, OPG, kućna radinost ili bilo koji drugi pravni oblik) koja je s Wespom sklopila Ugovor za korištenje usluga Wespe.
Organizator znači osoba koji s Wespom ugovara održavanje Događanja.
Ugovor znači bilo koji ugovor sklopljen između Wespe i Korisnika, uključujući: ugovor o organizaciji događanja; bilo koji drugi ugovor za pružanje Wespinih usluga, što podrazumijeva i ponude koje je izdala Wespa, a prihvatio Korisnik (bilo potpisom ili konkludetnom radnjom).
Ugovorne Strane znači Wespa i Korisnik odnosno Organizator.
Opći Uvjeti znači ovi Opći uvjeti poslovanja koji čine sastavni dio svakog Ugovora te na čije odredbe Korisnik pristaje sklapanjem Ugovora.
HUB znači „WESPA HOSPITALITY COWORKING HUB", poslovni prostor koji se nalazi unutar poslovno-stambenog kompleksa „Zavrtnica", na adresi Zavrtnica 17, Zagreb.
WBL znači „WESPA Business Lounge", poslovni prostor koji se nalazi u Poslovnom kompleksu „Green Gold", Radnička cesta 50, 52, 54 i Ulica grada Vukovara 269 g i 269 f, Zagreb.
Prostori znači HUB i WBL.
Radni dan znači svaki dan u tjednu osim subote, nedjelje te vjerskih i državnih praznika označenih kao neradni dan.
Kućni Red znači „Pravila korištenja i Kućnog reda", popis pravila svakodobno dostupan na web stranici Wespe: https://wespa.hr/code-of-conduct-and-house-rules/.
Događanje znači skup, konferencija, radionica, prezentacija, proslava ili bilo koji drugi oblik organiziranog okupljanja koji se na temelju Ugovora odnosno prihvaćene ponude održava u Prostorima.
Potvrda rezervacije znači pisanu potvrdu kojom Wespa potvrđuje da je termin Događanja rezerviran za Organizatora, a koju Wespa izdaje isključivo nakon zaprimanja avansne uplate iz članka 13. stavka 4. ovih Općih Uvjeta.
Završna potvrda znači pisanu obavijest koju Organizator dostavlja Wespi najkasnije 3 (tri) dana prije Događanja, a koja sadrži: (i) točan broj sudionika, (ii) konačno prihvaćenu ponudu i (iii) satnice posluživanja, odnosno planiranu agendu Događanja.

Wespa means WESPA HOSPITALITY d.o.o., with its registered seat in Zagreb, Radnička cesta 50, PIN (OIB): 60367409975, registered in the court register of the Commercial Court in Zagreb under MBS 081467363.
Client means a legal or natural person (sole trader, family farm (OPG), domestic craft (kućna radinost) or any other legal form) which has concluded an Agreement with Wespa for the use of Wespa's services.
Organizer means the person contracting the holding of an Event with Wespa.
Agreement means any agreement concluded between Wespa and the Client, including: an agreement on the organization of an event; any other agreement for the provision of Wespa's services, which also includes offers issued by Wespa and accepted by the Client (whether by signature or by conclusive action).
Contracting Parties means Wespa and the Client or Organizer.
General Terms means these General Terms and Conditions, which form an integral part of every Agreement and to whose provisions the Client agrees by concluding the Agreement.
HUB means the "WESPA HOSPITALITY COWORKING HUB", a business space located within the business-residential complex "Zavrtnica", at the address Zavrtnica 17, Zagreb.
WBL means the "WESPA Business Lounge", a business space located in the "Green Gold" Business Complex, Radnička cesta 50, 52, 54 and Ulica grada Vukovara 269 g and 269 f, Zagreb.
Premises means the HUB and the WBL.
Working Day means every day of the week except Saturday, Sunday, and religious and public holidays designated as non-working days.
House Rules means the "Rules of Use and House Rules", a list of rules available at all times on Wespa's website: https://wespa.hr/code-of-conduct-and-house-rules/.
Event means a meeting, conference, workshop, presentation, celebration or any other form of organized gathering held at the Premises on the basis of the Agreement or accepted offer.
Booking Confirmation means a written confirmation by which Wespa confirms that the Event date has been reserved for the Organizer, issued by Wespa solely after receiving advanced payment as described under Art. 13 Par. 4 hereof.
Final Confirmation means a written notice which the Organizer delivers to Wespa no later than 3 (three) days before the Event, containing: (i) the exact number of participants, (ii) the finally accepted offer, and (iii) the serving schedule, i.e. the planned agenda of the Event.

Wespa kao glavnu uslugu pruža uslugu održavanja Događanja, što uključuje (sukladno dogovoru sa Korisnikom) usluge pripreme Prostora, hrane, pića, posluživanja hrane i pića, organizacije eventa, tehničke podrške. Navedeno ne uključuje uslugu zakupa Prostora, koju uslugu zasebno pruža društvo WESPA SPACES d.o.o.

Wespa provides as its main service the service of holding Events, which includes (in accordance with the agreement with the Client) services of preparation of the Premises, food, beverages, food and beverage service, event organization, and technical support. The foregoing does not include the service of leasing the Premises, which service is provided separately by the company WESPA SPACES d.o.o.
Primjenjivost Općih Uvjeta / Applicability of the General Terms

(1) Ovi Opći Uvjeti primjenjuju se na sve Ugovore sklopljene između Wespe i Korisnika, neovisno o vrsti usluge. Ukoliko se razlikuju od ovdje sadržanih odredaba, odredbe Ugovora imaju prednost pred odredbama ovih Općih Uvjeta samo ukoliko je tako izričito navedeno u Ugovoru.
(2) Za sva pitanja koja nisu izričito uređena Ugovorom, vrijede odredbe ovih Općih Uvjeta. Ovime se odbacuje svako pozivanje na opće uvjete i odredbe Korisnika ili trećih strana. Odstupanje od ovih Općih Uvjeta moguće je samo uz izričito pisano odobrenje Wespe. Ovi Opći Uvjeti podložni su izmjenama koje stupaju na snagu danom objave na Wespinoj web stranici.

(1) These General Terms apply to all Agreements concluded between Wespa and the Client, regardless of the type of service. If they differ from the provisions contained herein, the provisions of the Agreement shall prevail over the provisions of these General Terms only if expressly so stated in the Agreement.
(2) For all matters not expressly regulated by the Agreement, the provisions of these General Terms shall apply. Any reference to the general terms and conditions of the Client or third parties is hereby rejected. Deviation from these General Terms is possible only with Wespa's express written approval. These General Terms are subject to amendments which take effect on the date of publication on Wespa's website.
Osnovno korištenje Prostora / Basic Use of the Premises

(1) Korisnik ima pravo koristiti prostor isključivo za potrebe za koje je sklopljen Ugovor, odnosno za potrebe održavanja Događanja i to sukladno pravilima Ugovora, Kućnog Reda i ovih Općih uvjeta.
(2) Od Korisnika, njegovog osoblja i gostiju očekuje se kulturno, profesionalno i susretljivo ponašanje prema ostalim korisnicima i trećim osobama unutar Prostora.

(1) The Client has the right to use the premises exclusively for the purposes for which the Agreement was concluded, i.e. for the purposes of holding the Event, in accordance with the rules of the Agreement, the House Rules, and these General Terms.
(2) The Client, its staff, and its guests are expected to behave in a cultured, professional, and courteous manner towards other users and third parties within the Premises.
Troškovi i odgovornost / Costs and Liability

(1) Korisnik se obvezuje podmiriti svu štetu uzrokovanu oštećenjem i kvarovima, a nastalu krivnjom i nepažnjom Korisnika ili trećih osoba koje je pozvao u Prostore. Korisnik se obvezuje o svakom slučaju štete i kvarova odmah obavijestiti Wespu. Korisnik ne odgovara za redovno trošenje prostora i ugrađene infrastrukturne opreme i uređaja.
(2) Korisnik odgovara za svu štetu koja može nastati uslijed uporabe prostora protivno odredbama Ugovora i ovih Općih Uvjeta odnosno Kućnog Reda, kao i uporabe kojoj prostor nije namijenjen, neovisno o tome je li prostor rabio Korisnik ili neka druga osoba po njegovom nalogu odnosno druga osoba kojoj je Korisnik omogućio pristup.
(3) Wespa se obvezuje snositi porez i druge javne terete vezane uz prostor. Troškovi grijanja, hlađenja, interneta, vode, struje, službe recepcije, odvoza komunalnog otpada i ostalih režija uključeni su u cijenu.
(4) Wespa ne odgovara za gubitak, oštećenje ili krađu osobnih stvari, opreme ili imovine gostiju, sudionika Događanja ili trećih osoba koje se nalaze u Prostorima. Organizator je obvezan o tome upozoriti sudionike Događanja.
(5) U slučaju da je Wespa spriječena organizirati ili pružiti ugovorenu uslugu zbog okolnosti više sile, Wespa će o tome obavijestiti organizatora bez odgode. U takvim slučajevima Wespa nema obvezu naknade štete organizatoru, ali je dužna uz dogovor s organizatorom ponuditi alternativni termin ili povrat plaćene naknade u razmjernom dijelu koji odgovara pruženim uslugama, ako nije pružena nijedna.
(6) Sve troškove platnog prometa, uključujući bankovne naknade, naknade posredničkih banaka te troškove konverzije valuta, snosi platitelj. Iznos koji pristigne na račun primatelja mora odgovarati ugovorenom iznosu računa, neumanjenom za bilo kakve naknade.

(1) The Client undertakes to settle all damage caused by deterioration and defects arising through the fault or negligence of the Client or third parties whom it has invited to the Premises. The Client undertakes to notify Wespa immediately of every case of damage and defects. The Client shall not be liable for ordinary wear and tear of the premises and the installed infrastructure, equipment, and devices.
(2) The Client shall be liable for all damage that may arise as a result of the use of the premises contrary to the provisions of the Agreement and these General Terms or the House Rules, as well as use for which the premises are not intended, regardless of whether the premises were used by the Client or by another person on its instructions, or by another person to whom the Client has granted access.
(3) Wespa undertakes to bear taxes and other public charges relating to the premises. The costs of heating, cooling, internet, water, electricity, reception services, communal waste removal, and other utilities are included in the price.
(4) Wespa shall not be liable for the loss, damage, or theft of personal belongings, equipment, or property of guests, Event participants, or third parties present at the Premises. The Organizer is obliged to warn the Event participants thereof.
(5) If Wespa is prevented from organizing or providing the contracted service due to circumstances of force majeure, Wespa shall notify the organizer thereof without delay. In such cases, Wespa shall have no obligation to compensate the organizer for damages, but shall be obliged, in agreement with the organizer, to offer an alternative date or a refund of the paid fee in a proportionate part corresponding to the services rendered, if no service has been rendered.
(6) All costs of payment transactions, including bank fees, fees of intermediary (correspondent) banks, and currency conversion costs, shall be borne by the payer. The amount received in the recipient's account must correspond to the agreed invoice amount, undiminished by any fees.
Općenito o Ugovorima / General Provisions on Agreements

(1) Wespa ima pravo mijenjati cijene usluga kao i iznose svih drugih naknada te ne garantira jednaku cijenu kroz bilo koje buduće razdoblje.
(2) Wespa zadržava pravo u bilo kojem trenutku izmijeniti ili ukinuti bilo koji segment poslovanja, uključujući, i bez ograničenja, sadržaj svoje ponude i radno vrijeme.
(3) Wespa prema vlastitoj procjeni i bez davanja ikakvih obrazloženja može odbiti sklapanje bilo kojeg Ugovora s bilo kojom osobom.
(4) Korisnik ne smije prenijeti svoja prava i obveze iz Ugovora ili Općih Uvjeta na treću stranu bez prethodne pisane suglasnosti Wespe.
English
(1) Wespa has the right to change the prices of services as well as the amounts of all other fees and does not guarantee the same price throughout any future period.
(2) Wespa reserves the right at any time to modify or discontinue any segment of its business, including, without limitation, the content of its offer and its working hours.
(3) Wespa may, in its sole discretion and without providing any reasons, refuse to enter into any Agreement with any person.
(4) The Client may not transfer its rights and obligations under the Agreement or the General Terms to a third party without Wespa's prior written consent.
Osobni podaci / Personal Data

(1) Svi osobni podaci koji na bilo koji način postanu dostupni drugoj Ugovornoj Strani mogu se obrađivati isključivo u svrhu izvršenja Ugovora. Ugovorne Strane ne smiju obrađivati osobne podatke ni na koji drugi način, a posebno ne smiju otkrivati osobne podatke trećim stranama i/ili analizirati takve podatke za vlastite potrebe i/ili vezano za profile.
(2) Ugovorne Strane moraju osigurati da osobni podaci budu dostupni isključivo njihovim suradnicima nužno potrebnima za izvršenje Ugovora (načelo postojanja potrebe saznanja).
(3) Ugovorne Strane dužne su jedna drugu obavijestiti u slučaju povrede osobnih podataka bez neopravdane odgode, ali u svakom slučaju u roku od 24 h. Po raskidu ili isteku suradnje obvezne su izbrisati osobne podatke uključujući sve kopije istih.
(4) Sve vrste profesionalnih snimanja Prostora, opreme, osoblja, posjetitelja i korisnika su zabranjena, osim uz prethodno pisano odobrenje Wespe.
(5) Prostori (s iznimkom sanitarnih čvorova) nalaze se pod konstantnim video-nadzorom. Obveza je Korisnika kao poslodavca obavijestiti na primjeren način svoje zaposlenike o ovoj činjenici.
(6) Wespa ni na koji način ne utječe ni ne odgovara za osobne podatke prikupljene tijekom Događanja. Sva odgovornost leži isključivo na organizatoru ili osobi koja prikuplja i obrađuje osobne podatke.
(7) Sve informacije o obradi osobnih podataka dostupne su u Politici privatnosti, kao i slanjem upita na gdpr@wespa.hr.

(1) All personal data which become available in any way to the other Contracting Party may be processed exclusively for the purpose of performing the Agreement. The Contracting Parties shall not process personal data in any other manner, and in particular shall not disclose personal data to third parties and/or analyse such data for their own purposes and/or in connection with profiles.
(2) The Contracting Parties must ensure that personal data are made available exclusively to their associates strictly necessary for the performance of the Agreement (need-to-know principle).
(3) The Contracting Parties are obliged to notify each other in the event of a personal data breach without undue delay, but in any case within 24 hours. Upon termination or expiry of the cooperation, they are obliged to delete personal data, including all copies thereof.
(4) All types of professional recording of the Premises, equipment, staff, visitors, and users are prohibited, unless Wespa has issued prior written approval.
(5) The Premises (with the exception of sanitary facilities) are under constant video surveillance. It is the obligation of the Client as employer to inform its employees of this fact in an appropriate manner.
(6) Wespa in no way influences nor is responsible for personal data collected during the Event. All responsibility lies exclusively with the organizer or the person collecting and processing the personal data.
(7) All information on the processing of personal data is available in the Privacy Policy as well as by sending an inquiry to gdpr@wespa.hr.
Pritužbe / Complaints

Pritužbe se primaju isključivo u pisanom obliku u roku od 8 dana od izvršenja usluge ili spornog događaja na e-mail adresu info@wespa.hr. U slučaju da pritužbu podnosi fizička osoba-potrošač, tada se pritužba može podnijeti u pisanom obliku na poslovnim prostorijama Wespe, poštom (WESPA HOSPITALITY d.o.o., Zagreb, Radnička cesta 50) i e-mailom info@wespa-HOSPITALITY.hr.

Complaints are accepted exclusively in written form within 8 days of the performance of the service or of the disputed event, at the e-mail address info@wespa.hr. Where a complaint is submitted by a natural person-consumer, the complaint may be submitted in writing at Wespa's business premises, by post (WESPA HOSPITALITY d.o.o., Zagreb, Radnička cesta 50), and by e-mail at info@wespa-HOSPITALITY.hr.
Rezervacija termina / Booking of Dates

(1) Broj sudionika Događanja određuje Organizator, pri čemu je ograničen stvarnim kapacitetom Prostora.
(2) Upit za rezervaciju termina ne obvezuje Wespu na čuvanje termina. Do trenutka izdavanja Potvrde rezervacije, Wespa zadržava pravo isti termin ponuditi trećima, bez prethodne obavijesti i bez ikakve odgovornosti prema Organizatoru koji je upit podnio.
(3) Po zaprimanju upita, Wespa Organizatoru izdaje ponudu s pozivom na uplatu avansa iz članka 13. stavka 4. ovih Općih Uvjeta. Ponuda je obvezujuća za Wespu u roku navedenom u ponudi.
(4) Termin se smatra rezerviranim isključivo nakon što Wespa zaprimi avansnu uplatu i Organizatoru izda Potvrdu rezervacije.
(5) Ako avansna uplata ne bude zaprimljena u roku važenja ponude, ponuda automatski prestaje vrijediti, a Wespa nije obvezna čuvati termin niti izdati Potvrdu rezervacije. Wespa zadržava pravo termin slobodno ponuditi trećima.

(1) The number of Event participants is determined by the Organizer, who is limited by the actual capacity of the Premises.
(2) An inquiry for the booking of a date does not oblige Wespa to hold the date. Until the moment of issuing the Booking Confirmation, Wespa reserves the right to offer the same date to third parties, without prior notice and without any liability towards the Organizer who submitted the inquiry.
(3) Upon receipt of the inquiry, Wespa shall issue to the Organizer an offer with a request for payment of the advance referred to in Article 13, paragraph 4 of these General Terms. The offer shall be binding on Wespa within the period stated in the offer.
(4) The date shall be deemed reserved only after Wespa has received the advance payment and issued the Booking Confirmation to the Organizer.
(5) If the advance payment is not received within the validity period of the offer, the offer shall automatically cease to be valid, and Wespa shall not be obliged to hold the date or to issue the Booking Confirmation. Wespa reserves the right to freely offer the date to third parties.
Završna potvrda / Final Confirmation

(1) Organizator je obvezan Wespi pisanim putem dostaviti Završnu potvrdu najkasnije 3 (tri) dana prije početka Događanja.
(2) Wespa obračunava usluge isključivo prema posljednjoj dostavljenoj i potvrđenoj Završnoj potvrdi.
(3) Izmjene Završne potvrde dostavljene Wespi u roku kraćem od 3 (tri) dana prije Događanja, a posebno izmjene izvršene na dan Događanja, smatraju se hitnom organizacijskom promjenom. Wespa ima pravo takve izmjene naplatiti po uvećanoj stopi, a u svakom slučaju zadržava pravo odbiti izmjenu ako ista nije organizacijski izvediva.
(4) Ukoliko Događanje uključuje maloljetne sudionike ili sudionike kojima je zbog zdravstvenog ili drugog stanja potrebna posebna skrb, Organizator je obvezan o tome unaprijed pisanim putem obavijestiti Wespu. Organizator preuzima punu i isključivu odgovornost za sigurnost, nadzor i dobrobit takvih sudionika. Wespa ne odgovara za bilo kakvu štetu ili ozljedu nastalu uslijed propuštanja Organizatora da osigura odgovarajući nadzor.

(1) The Organizer is obliged to deliver the Final Confirmation to Wespa in writing no later than 3 (three) days before the start of the Event.
(2) Wespa shall calculate services exclusively in accordance with the last delivered and confirmed Final Confirmation.
(3) Amendments to the Final Confirmation delivered to Wespa within a period shorter than 3 (three) days before the Event, and in particular amendments made on the day of the Event, shall be deemed an urgent organizational change. Wespa has the right to charge for such amendments at an increased rate, and in any case reserves the right to refuse the amendment if it is not organizationally feasible.
(4) If the Event includes minor participants or participants who, due to a medical or other condition, require special care, the Organizer is obliged to notify Wespa thereof in advance in writing. The Organizer assumes full and exclusive responsibility for the safety, supervision, and well-being of such participants. Wespa shall not be liable for any damage or injury arising from the Organizer's failure to ensure appropriate supervision.
Pripremne radnje i tehnička organizacija / Preparatory Actions and Technical Organization

(1) Organizator je dužan program Događanja proslijediti Wespinim koordinatorima najmanje 48 sati prije početka Događanja.
(2) Donošenje vlastite opreme, promotivnih materijala, natpisa i sličnog dozvoljeno je samo uz dozvolu Wespinih koordinatora. Vlastita oprema mora biti u skladu s pravilima Wespe, a Organizator je dužan osigurati da ta pravila poštuju svi sudionici Događanja.
(3) Označavanje Prostora logotipovima, promotivnim materijalima ili posterima nije dozvoljeno bez dozvole Wespinog koordinatora.
(4) Tijekom korištenja iznajmljene opreme i sale, odnosno samih Prostora, Organizator je u potpunosti odgovoran za iste. U slučaju oštećenja Prostora ili opreme, Wespa će Organizatoru ispostaviti račun za popravak štete ili kupnju nove opreme.
(5) Unošenje i konzumiranje donesenih prehrambenih proizvoda nije dozvoljeno bez prethodne dozvole Wespinih koordinatora.
(6) Donošenje vlastitih napitaka ili napitaka koje je dostavio sponzor dozvoljeno je isključivo uz prethodno odobrenje koordinatora i pod sljedećim uvjetima: obvezna otpremnica s naznačenom robom i cijenom ili besplatnom sponzorskom oznakom; pakiranje u skladu s propisima RH; Organizator odgovara za kvalitetu i količinu donesenih napitaka; Wespa zadržava pravo naplatiti uslugu posluživanja donesenih napitaka.
(7) Ukoliko dio Prostora treba pripremiti dan ranije, naplaćuje se polovina dnevnog najma sale, kao i rad osoblja ako je njegov angažman potreban.
(8) Wespa zadržava pravo fotografirati ili snimati Događanje u svrhu vlastitog marketinga, o čemu će unaprijed obavijestiti Organizatora. Organizator koji ne želi biti predmet takvog snimanja obvezan je o tome Wespu pisanim putem obavijestiti najkasnije 48 sati prije početka Događanja.

(1) The Organizer is obliged to forward the program of the Event to Wespa's coordinators at least 48 hours before the start of the Event.
(2) Bringing in own equipment, promotional materials, signs, and the like is permitted only with the permission of Wespa's coordinators. Own equipment must comply with the rules set by Wespa, and the Organizer is obliged to ensure that these rules are observed by all Event participants.
(3) Marking of the Premises with logos, promotional materials, or posters is not permitted without the permission of Wespa's coordinator.
(4) During the use of the rented equipment and hall, i.e. of the Premises themselves, the Organizer shall be fully responsible for the same. In the event of damage to the Premises or equipment, Wespa shall issue an invoice to the Organizer for the repair of the damage or the purchase of new equipment.
(5) Bringing in and consuming brought-in food products is not permitted without the prior approval of Wespa's coordinators.
(6) Bringing in own beverages or beverages supplied by a sponsor is permitted exclusively with the prior approval of the coordinator and under the following conditions: a mandatory delivery note specifying the goods with an indication of the price or a notation that the goods are free sponsorship goods; packaging in compliance with the legal regulations of the Republic of Croatia; the Organizer is responsible for the quality and quantity of the brought-in beverages; Wespa reserves the right to charge for the service of serving the brought-in beverages.
(7) If the part of the Premises used for the purposes of the Event needs to be prepared the day before, half of the daily hall rental shall be charged, as well as the work of the staff if their engagement is required.
(8) Wespa reserves the right to photograph or record the Event for the purposes of its own marketing and promotion, of which it shall notify the Organizer in advance. An Organizer who does not wish to be the subject of such recording is obliged to notify Wespa thereof in writing no later than 48 hours before the start of the Event.
Tijek Događanja / Course of the Event

(1) Događanje se odvija prema terminskom planu i agendi potvrđenima u Završnoj potvrdi.
(2) Eventualno kašnjenje početka Događanja, bilo zbog zakašnjelog dolaska gostiju, kašnjenja Organizatora ili iz bilo kojih drugih razloga na strani Organizatora, ne predstavlja osnovu za produženje dogovorenog trajanja Događanja bez dodatne naknade.
(3) Ukoliko Događanje traje dulje od termina navedenog u Završnoj potvrdi, Wespa ima pravo naplatiti produženje prema važećem cjeniku za svaki započeti sat, uključujući troškove osoblja, posluživanja i najma prostora.
(4) Produženje Događanja moguće je isključivo uz prethodnu suglasnost Wespinog koordinatora i ovisno o raspoloživosti prostora i osoblja.
(5) Ukoliko Organizator namjerava angažirati zaštitare ili druge osobe čija je uloga nadgledanje i upravljanje protokom ljudi, dužan je o tome prethodno se konzultirati s Wespinim koordinatorom.
(6) Organizator je obvezan poštivati sve epidemiološke mjere i sigurnosna ograničenja. Organizator je obvezan nadoknaditi Wespi puni iznos sve štete uzrokovane kršenjem navedenih mjera i pravila, uključujući iznose prekršajnih sankcija, kao i moguće zahtjeve trećih strana. Organizator preuzima punu odgovornost za sigurnost sudionika i osoblja angažiranog za potrebe Događanja.

(1) The Event shall take place in accordance with the schedule and agenda confirmed in the Final Confirmation.
(2) Any delay in the start of the Event, whether due to the late arrival of guests, the late arrival of the Organizer, or for any other reasons on the Organizer's side, shall not constitute grounds for extending the agreed duration of the Event without an additional fee.
(3) If the Event lasts longer than the time stated in the Final Confirmation, Wespa has the right to charge for the extension in accordance with the applicable price list for each commenced hour, including the costs of staff, service, and rental of the premises.
(4) An extension of the Event is possible only with the prior consent of Wespa's coordinator and subject to the availability of the premises and staff.
(5) If the Organizer intends to engage security personnel or other persons whose role is to supervise and manage the flow of people, it is obliged to consult Wespa's coordinator in advance.
(6) When organizing and holding the Event, the Organizer is obliged to fully comply with all epidemiological measures and safety restrictions. The Organizer is obliged to compensate Wespa in full for all damage caused by the violation of the said measures and rules, including amounts of misdemeanour sanctions, as well as any third-party claims. The Organizer assumes full responsibility for the safety of the participants and staff engaged for the purposes of the Event.

(1) Neposredno po završetku Događanja, Wespa izrađuje otpremnicu koja obuhvaća sveukupnu pruženu uslugu i konzumaciju ostvarenu tijekom Događanja. Organizator je obvezan otpremnicu pregledati i potpisati na licu mjesta po završetku Događanja, a najkasnije u roku od 48 sati od primitka iste elektroničkim putem. Potpisom otpremnice organizator potvrđuje isporuku usluga i robe navedenih u otpremnici. Ukoliko organizator otpremnicu ne potpiše u navedenom roku, smatra se da je prihvatio njezin sadržaj bez prigovora. Nakon isteka navedenog roka ne prihvaćaju se prigovori na isporučenu uslugu i robu, niti zahtjevi za storniranjem ili korekcijom računa.
(2) Ukoliko organizator treba angažirati zaštitare ili druge osobe čija je uloga nadgledanje i upravljanje protokom ljudi, organizator se mora prvo konzultirati s Wespinim koordinatorom.
(3) Ponuda i cijene unutar nje kreirane su specifično za svako pojedinačno Događanje i upit. Promjene u broju gostiju (na više), najmovima sala, cateringu ili promjene rasporeda, smatraju se novim zahtjevima i bit će izdana nova ponuda s promijenjenim uvjetima i cijenama.
(4) Plaćanje ugovorenih usluga vrši se avansno u iznosu od 50% (pedeset posto) ugovorene cijene, na temelju ponude koju izdaje Wespa. Avansno plaćanje uvjet je rezervacije termina te dospijeva u roku važenja ponude. Wespa će izdati Potvrdu rezervacije i rezervirati termin tek nakon zaprimanja avansne uplate. Organizator je dužan koristiti odgovarajući poziv na broj iz ponude te potvrdu o plaćanju bez odgode proslijediti na financije@wespa.hr. Moguće je platiti bankovnim transferom/žirmanom, kao i Maestro, Visa, Master Card, Diners.
(5) Preostali iznos od 50% ugovorene cijene, uvećan za vrijednost dodatnih usluga i konzumacije naručenih i ostvarenih na licu mjesta tijekom Događanja, plaća se po konačnom računu koji Wespa izdaje na temelju potpisane otpremnice iz stavka (1) ovog članka. Organizator je obvezan podmiriti konačni račun u roku od 3 (tri) dana od dana izdavanja računa.
(6) U slučaju kašnjenja s plaćanjem, Wespa ima pravo obračunati zatezne kamate u visini propisanoj Zakonom o obveznim odnosima. Wespa osim toga zadržava pravo odbiti prihvat novih rezervacija ili sklapanje novih ugovora s organizatorom koji ima nepodmirene financijske obveze prema Wespi.
(7) Organizator snosi troškove za sve sudionike Događanja ili one povezane s Događanjem, osim ako Ugovorom ili obvezujućom ponudom nije drugačije navedeno. Sve usluge koje nisu navedene u Ugovoru, ponudi ili ranijoj korespondenciji naplaćuju se po stvarnom trošku i u skladu s redovitim cijenama.
(8) Sva konzumacija i usluge naručene na licu mjesta tijekom Događanja, izvan okvira potvrđene ponude, obračunavaju se prema važećem cjeniku i evidentiraju u otpremnici. Narudžbu dodatnih usluga i konzumacije ovlašteni su dati isključivo organizator ili osoba koju je organizator pisanim putem ovlastio i čije je ime/kontakt Wespa zaprimila najkasnije na dan Događanja.

(1) Immediately upon completion of the Event, Wespa shall prepare a delivery note covering the entire service rendered and the consumption realized during the Event. The Organizer is obliged to review and sign the delivery note on the spot upon completion of the Event, and at the latest within 48 hours of receiving it electronically. By signing the delivery note, the Organizer confirms the delivery of the services and goods listed therein. If the Organizer does not sign the delivery note within the said period, it shall be deemed to have accepted its contents without objection. After the expiry of the said period, no objections to the delivered service and goods shall be accepted, nor any requests for the cancellation or correction of the invoice issued on the basis of the delivery note.
(2) If the Organizer needs to engage security personnel or other persons whose role is to supervise and manage the flow of people, the Organizer must first consult with Wespa's coordinator.
(3) The offer and the prices contained therein are created specifically for each individual Event and inquiry. Changes in the number of guests (upwards), hall rentals, catering, or changes in the schedule shall be considered new requests and a new offer with amended terms and prices shall be issued.
(4) Payment of the contracted services shall be made in advance in the amount of 50% (fifty percent) of the contracted price, on the basis of the offer issued by Wespa. The advance payment shall be a condition for the reservation of the date and shall be due within the validity period of the offer. Wespa shall issue the Booking Confirmation and reserve the date only after receipt of the advance payment. The Organizer is obliged to use the appropriate reference number from the offer and to forward the payment confirmation without delay to financije@wespa.hr. Payment may be made by bank transfer/wire, as well as by Maestro, Visa, Master Card, and Diners.
(5) The remaining amount of 50% of the contracted price, increased by the value of additional services and consumption ordered and realized on the spot during the Event, shall be paid against the final invoice issued by Wespa on the basis of the signed delivery note referred to in paragraph (1) of this Article. The Organizer is obliged to settle the final invoice within 3 (three) days from the date of issue of the invoice.
(6) In the event of late payment, Wespa has the right to charge default interest at the rate prescribed by the Civil Obligations Act. In addition, Wespa reserves the right to refuse to accept new bookings or to enter into new agreements with an Organizer who has outstanding financial obligations towards Wespa.
(7) The Organizer shall bear the costs for all participants of the Event or those connected with the Event, unless otherwise stated in the Agreement concluded with the Organizer or in a binding offer. All services not listed in the Agreement, the offer, or earlier correspondence shall be charged at actual cost and in accordance with the regular prices.
(8) All consumption and services ordered on the spot during the Event, outside the scope of the confirmed offer, shall be calculated in accordance with the applicable price list and recorded in the delivery note. Additional services and consumption may be ordered exclusively by the Organizer or by a person whom the Organizer has authorized in writing and whose name/contact has been received by Wespa no later than on the day of the Event.
Otkazivanje Događanja / Event Cancellation

(1) U slučaju otkazivanja Događanja, primjenjuju se sljedeće naknade:
- otkazivanje više od 14 dana prije Događanja: povrat 50% plaćene naknade;
- otkazivanje između 8 i 14 dana prije Događanja: povrat 25% plaćene naknade;
- otkazivanje u roku kraćem od 7 dana (uključujući 7. dan, što uključuje i nepojavljivanje) prije Događanja: nema povrata uplaćenog avansa i naplaćuje se 100% vrijednosti ugovorene usluge.
U svakom od gornjih slučajeva Wespa zadržava pravo dodatno naplatiti sve dokumentirane troškove već nastale u pripremi Događanja (uključujući, ali ne ograničavajući se na, troškove naručene robe, angažiranog osoblja i podizvođača).
(2) Za obračun usluga mjerodavan je broj sudionika naveden u posljednjoj Završnoj potvrdi. Smanjenje broja sudionika prijavljeno u roku kraćem od 3 (tri) Radna dana prije Događanja ne uzima se u obzir pri obračunu.
(3) U slučaju povećanja broja sudionika u odnosu na Završnu potvrdu, naplaćuje se stvarni broj posluživanih gostiju prema stvarnoj konzumaciji.

(1) In the event of cancellation of the Event, the following fees shall apply:
- cancellation more than 14 days before the Event: refund of 50% of the paid fee;
- cancellation between 8 and 14 days before the Event: refund of 25% of the paid fee;
- cancellation within a period shorter than 7 days (including the 7th day, which also includes no-show) before the Event: no refund of the paid advance, and 100% of the value of the contracted service shall be charged.
In each of the above cases, Wespa reserves the right to additionally charge all documented costs already incurred in the preparation of the Event (including, but not limited to, the costs of ordered goods, engaged staff, and subcontractors).
(2) For the calculation of services, the relevant number of participants shall be the number stated in the last Final Confirmation. A reduction in the number of participants reported within a period shorter than 3 (three) Working Days before the Event shall not be taken into account in the calculation.
(3) In the event of an increase in the number of participants compared to the Final Confirmation, the actual number of guests served shall be charged in accordance with actual consumption.

The Contracting Parties unconditionally undertake to permanently keep as a business secret all data and documentation relating to the performance of the Agreement.
Mjerodavno pravo; rješavanje sporova / Governing Law; Dispute Resolution

(1) Na sve što nije regulirano Ugovorom, Kućnim Redom i/ili ovim Općim Uvjetima, primjenjuju se odredbe zakona koji regulira odnosnu materiju.
(2) Za Ugovor je mjerodavno hrvatsko pravo. Ugovor se sklapa na hrvatskom i engleskom jeziku, a u slučaju nepodudarnosti, mjerodavna je hrvatska verzija.
(3) Eventualne sporove Ugovorne Strane će rješavati sporazumom, a u slučaju nemogućnosti postizanja sporazumnog rješenja stranke suglasno ugovaraju nadležnost stvarno nadležnog suda u Zagrebu.

(1) For all matters not regulated by the Agreement, the House Rules, and/or these General Terms, the provisions of the law governing the relevant subject matter shall apply.
(2) The Agreement shall be governed by Croatian law. The Agreement is concluded in the Croatian and English languages, and in the event of any discrepancy, the Croatian version shall prevail.
(3) Any disputes shall be resolved by the Contracting Parties by agreement, and in the event of an inability to reach an amicable solution, the parties hereby agree on the jurisdiction of the court with subject-matter jurisdiction in Zagreb.
Komunikacija; pisani oblik / Communication; Written Form

(1) Sva pismena i obavijesti po Ugovoru i ovim Općim Uvjetima međusobno dostavljati će se na e-mail adrese navedene u Ugovoru.
(2) Izmjene i dopune Ugovora vrijede samo u pisanom obliku.

(1) All correspondence and notices under the Agreement and these General Terms shall be delivered to each other at the e-mail addresses stated in the Agreement.
(2) Amendments and supplements to the Agreement shall be valid only in written form.
Izostanak odricanja; djelomična ništavost / No Waiver; Partial Invalidity

(1) Nevršenje ili kašnjenje bilo koje Ugovorne Strane u vršenju nekog od njezinih prava ne smatra se odricanjem od toga prava, a pojedinačno ili djelomično vršenje nekog prava ne sprečava daljnje vršenje toga ili vršenje nekog drugog prava. Prava i pravna sredstva predviđena Ugovorom odnosno Općim Uvjetima ne isključuju prava i pravna sredstva koja bilo koja od Ugovornih Strana inače ima prema zakonu.
(2) Ništavost ili neprovedivost bilo koje odredbe Ugovora ili Općih Uvjeta ni na koji način ne utječe na valjanost ili provedivost ostalih odredbi, a Ugovorne Strane obvezuju se uložiti najbolje napore kako bi ispravile takvu ništavu ili neprovedivu odredbu na način da postane valjana i provediva.

(1) The failure or delay of either Contracting Party in exercising any of its rights under the Agreement or these General Terms shall not be deemed a waiver of that right, and the individual or partial exercise of any right shall not prevent the further exercise of that right or the exercise of any other right. The rights and remedies provided for in the Agreement or the General Terms shall not exclude the rights and remedies that either Contracting Party otherwise has under the law.
(2) The invalidity or unenforceability of any provision of the Agreement or the General Terms shall in no way affect the validity or enforceability of the other provisions, and the Contracting Parties undertake to use their best efforts to remedy such invalid or unenforceable provision in such a way that it becomes valid and enforceable.
